Definitions

The following terms have the meanings assigned to them below wherever they appear (capitalised) in these Terms of Service. Where the context requires, words importing the singular include the plural and vice versa. References to "including" or "includes" mean "including without limitation." References to "at our discretion" or "at Konexyon's sole discretion" mean a decision that Konexyon may take for any reason or for no reason, subject only to applicable mandatory law. References to "applicable law" include all laws, regulations, codes, directives, orders, and guidance having legal effect in the jurisdiction governing this agreement (see Section 22).

These Terms constitute the entire agreement between you and Konexyon in relation to the Service (subject to Section 22.6) and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral. In the event of a conflict between these Terms and mandatory applicable law, the applicable law prevails.

1. Acceptance of Terms

By accessing or using the Konexyon mobile application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and the term "you" refers to that entity.

These Terms constitute the entire agreement between you and Konexyon regarding the Service and supersede all prior agreements.

2. Eligibility and User Representations

To use Konexyon, you must meet all of the following requirements. By creating an Account or using the Service, you represent and warrant — as a continuing representation for as long as you use the Service — that:

• You are at least 14 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher)
• Your use of the Service does not violate any applicable law or regulation of your country of residence or any country from which you access the Service
• You have not previously had your account terminated, suspended, or banned by Konexyon for a violation of these Terms or Konexyon's policies
• You will provide and maintain accurate, current, and complete registration information at all times
• You are not a resident of, located in, or organised under the laws of any country that is subject to a comprehensive trade embargo or sanctions programme administered by the United Nations, the European Union, Spain, or the United States (including, without limitation, Russia, North Korea, Iran, Syria, and Cuba), and you are not included on any applicable government-maintained list of prohibited or restricted parties (including the EU Consolidated Sanctions List, the OFAC SDN List, or any equivalent Spanish or EU regulatory list)
• You have not been convicted of any criminal offence involving violence against persons, sexual offences, or offences against minors. Konexyon reserves the right to restrict or remove access to persons whose known criminal history may pose a risk to the safety of other users, in accordance with applicable law and on a case-by-case basis proportionate to the risk
• You are not using the Service for any purpose connected with terrorism, extremism, radicalisation, or any activity designated as a terrorist act under applicable EU or Spanish law
• All information and content you provide through the Service is truthful, accurate, and not misleading
• You are acting in your own name and on your own behalf, or if acting on behalf of a legal entity, you have full authority to bind that entity to these Terms

Konexyon reserves the right — but is not obligated — to verify any of the above at any time, at its sole discretion. Providing false representations in this Section constitutes a material breach of these Terms and grounds for immediate account termination. Konexyon shall have no liability whatsoever for any harm arising from any user's misrepresentation of their eligibility.

3. Your Account

3.1 Registration

You must provide a valid email address and create a secure password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Account Security and Absolute Activity Responsibility

You are absolutely and unconditionally responsible for all activity that occurs under your Account, without exception and regardless of whether such activity was authorised by you. This includes, without limitation, activity by: any person who accesses your Account using your credentials with or without your knowledge or consent; automated bots or tools operating on your Account; persons who gained access to your Account through your own failure to maintain security (e.g., weak password, responding to a phishing attempt, leaving a device unlocked). If you are a consumer, this responsibility does not extend to activity you could not reasonably control or prevent, and you are not deemed to have ratified any activity merely by failing to report it within a time limit (Section 16.0). You agree to:

• Use a strong, unique password and keep it strictly confidential at all times
• Never share your Account credentials with any other person or entity for any reason
• Enable any additional security features (such as two-factor authentication) that Konexyon makes available
• Log out of your Account when using shared or public devices
• Notify Konexyon within 24 hours of becoming aware of any unauthorised access, suspicious activity, or security breach affecting your Account by emailing [email protected]

Failure to notify Konexyon within 24 hours of discovering an unauthorised access will be treated as your ratification of all activity conducted under your Account during the period of non-notification. Konexyon shall have no liability whatsoever for any loss, damage, or harm arising from your failure to maintain Account security or to notify Konexyon promptly. Any claim that Account activity was unauthorised must be supported by evidence you provide; Konexyon's logs of Account activity constitute prima facie evidence of the activity that occurred.

3.3 One Account Per Person

You may only create one personal account. Creating multiple accounts to circumvent a suspension, to artificially inflate your reputation or social credit, or to manipulate plan participation is prohibited and may result in permanent termination of all associated accounts.

3.4 Username

Your username must not impersonate another person or entity, contain hate speech, or otherwise violate these Terms. Konexyon reserves the right to reclaim usernames that violate this policy or that have been inactive for an extended period.

4. The Service

4.1 Description

Konexyon is a social platform that enables users to create, discover, and join real-world plans and activities. The Service includes plan creation and management, social profiles, a social credit system, in-app messaging, anonymous chat, vibe posts, communities, and related features.

4.2 Service Changes

Konexyon reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4.3 Beta Features

Some features may be released as "beta" or "experimental". These features are provided as-is, may contain bugs, and may be modified or removed without notice.

5. Content License You Grant Us

By submitting, posting, or displaying content on or through the Service ("User Content"), you grant Konexyon a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, copy, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating, promoting, and improving the Service, including developing new features and technologies.

This license includes the right to:

• Display your User Content to other users as part of the normal operation of the Service
• Reformat, resize, or otherwise adapt your User Content for display on different devices and interfaces
• Use anonymised or aggregated User Content for product research and analytics
• Continue to host and display User Content after you have deleted your account, where other users have interacted with that content (e.g., a plan rating) and deletion would degrade their experience — subject to our data retention obligations

This license terminates when you delete your User Content or your account, subject to the retention periods described in our Privacy Policy. You retain all ownership rights in your User Content. Konexyon does not claim ownership of any content you post.

You represent and warrant that: (a) you own or have the necessary licences, rights, consents, and permissions to grant the above licence; and (b) your User Content does not infringe any third-party intellectual property rights or violate applicable law.

5.5 Data Derived from Your Activity

In addition to the content licence above, by using the Service you acknowledge and agree that Konexyon may, subject to the Privacy Policy and applicable law: (a) collect and analyse data generated by your use of the Service, including interactions, navigation patterns, feature usage, and behavioural signals; (b) derive statistical inferences, interest profiles, and other insights from this data at an individual or aggregated level; and (c) use this data to train, validate, and improve the recommendation, moderation, matching, and fraud detection systems of the Service itself.

Konexyon does not sell, license, rent, or otherwise transfer your personal data to third parties for commercial purposes, and does not build interest or behavioural segments for advertisers, data brokers, or any other entity. There is no commercial data programme, present or planned, that you could or would need to opt out of.

Should this ever change, it would not happen through a silent amendment to these Terms: you would be informed in advance and, where the law requires it, asked for your express, specific, and informed consent. Continued use of the Service will never by itself amount to that consent.

5.6 Moral Rights Waiver

You agree not to exercise any moral rights (including rights of attribution and integrity) with respect to User Content you submit through the Service in a manner that would prevent or unreasonably restrict Konexyon from exercising the content licence granted in Section 5.1. To the extent expressly permitted by applicable law, you also waive such moral rights in favour of Konexyon and any parties to whom Konexyon sublicenses User Content; where such waiver is not permitted by applicable mandatory law, the non-exercise commitment in this paragraph applies instead, and no broader waiver is intended or shall be implied.

5.7 Enhanced User Content Warranties

In addition to the general representation above, by submitting any User Content you specifically represent and warrant that:

• You have obtained the freely given, specific, and informed consent of every identifiable natural person who appears in any photo, video, or audio recording you upload to be displayed and processed as part of the Service, and that such consent is valid under applicable law including GDPR Art. 7 and applicable national law
• You have the full right, power, and authority to grant the licence in Section 5.1 without the consent or approval of any other person or entity not already obtained by you
• Your User Content does not disclose the personal data, private communications, home address, financial information, or other sensitive information of any third party without that person's explicit consent
• Your User Content is accurate in all material respects, does not impersonate any other person, organisation, or brand, and does not constitute defamation, libel, slander, or malicious falsehood under applicable law
• Your User Content does not constitute, contain, link to, or promote: non-consensual intimate imagery (NCII/revenge porn), child sexual abuse material (CSAM), content that violates the privacy rights of any third party, unlicensed commercially-exploited copyrighted material, or any content that is illegal under applicable law

Any breach of these warranties constitutes a material breach of these Terms giving rise to your full indemnification obligation under Section 18. You acknowledge that Konexyon cannot practically verify compliance with these warranties in advance of content being posted, and that you bear sole civil and criminal liability for any breach.

6. Our License to You

Subject to your compliance with these Terms, Konexyon grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes.

You may not: sublicense, sell, resell, transfer, assign, or commercially exploit the Service; reverse engineer, decompile, or disassemble any part of the Service; use automated tools to scrape, crawl, or extract data from the Service; remove any copyright, trademark, or other proprietary notices.

7. Acceptable Use Policy

You agree to use Konexyon only for lawful purposes and in a way that does not infringe the rights of others. Specifically, you agree not to:

• Harass, bully, threaten, intimidate, or stalk other users
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Post or transmit spam, chain letters, or unsolicited mass messages
• Use the Service to solicit personal information from minors
• Use the Service to engage in fraud, deception, or financial scams
• Interfere with or disrupt the integrity or performance of the Service or data it contains
• Attempt to gain unauthorised access to the Service or its related systems
• Use the Service to transmit any malware, viruses, or destructive code
• Circumvent or attempt to circumvent any technical measures Konexyon uses to enforce these Terms
• Collect or harvest user data without authorisation
• Use the Service for commercial advertising, multi-level marketing, or pyramid schemes without our prior written consent
• Create fake plans, fake check-ins, or artificially manipulate social credit scores
• Use automated bots or scripts to interact with the Service in ways that degrade the experience for other users

8. Prohibited Content

You may not post, share, or distribute content that:

8.1 Illegal or Harmful Content

• Constitutes child sexual abuse material (CSAM) or sexually exploits minors in any way — zero-tolerance policy; immediate account termination and reporting to law enforcement
• Promotes, incites, or facilitates violence, terrorism, or self-harm
• Violates any applicable law or regulation
• Facilitates the sale of illegal drugs, weapons, counterfeit goods, or other contraband

8.2 Hateful and Discriminatory Content

• Promotes hatred, discrimination, or violence against individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics
• Uses slurs, dehumanising language, or harmful stereotypes

8.3 Misinformation and Manipulation

• Deliberately contains false or misleading information that could cause real-world harm (health misinformation, election interference, emergency alerts)
• Constitutes coordinated inauthentic behaviour — including operating networks of fake accounts, purchasing followers, or artificially amplifying content

8.4 Privacy Violations

• Shares another person's private information without their consent ("doxxing")
• Shares intimate images of another person without their consent

8.5 Intellectual Property

• Infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any third party

8.6 Safe Messaging — Self-Harm and Suicide

• Promotes, glorifies, or provides detailed instructions for suicide or self-harm methods
• Presents self-harm methods in a manner that may encourage imitation ("how to" content)
• Encourages or facilitates viral challenges involving physical self-harm

When we detect content or searches related to self-harm or mental health crisis, Konexyon may display crisis resources including the Teléfono de la Esperanza: 717 003 717 (Spain) and the International Association for Suicide Prevention (IASP) directory.

8.7 Electoral and Political Integrity

• Contains intentionally false information about candidates, election results, voting procedures, or polling locations designed to mislead voters
• Is designed to suppress or discourage legitimate participation in elections among specific groups
• Constitutes paid political advertising that is not clearly and prominently disclosed as such
• Represents coordination with foreign entities to interfere in domestic elections

Political opinion, civic advocacy, and debate on public policy are permitted forms of expression on Konexyon. This provision targets deception and voter suppression, not speech.

9. Plans, Social Credit & Virtual Rewards

9.1 Plan Creation

When you create a plan, you represent that the plan is genuine, that you intend to host it, and that the location, date, and description are accurate. Creating fake or deceptive plans is prohibited and may result in account suspension.

9.2 Social Credit System

Konexyon operates a social credit system that tracks your activity, reliability, and community contributions. Social credit scores are:

• Calculated by automated server-side algorithms; they are not manually assigned
• Subject to change as the algorithm evolves
• Non-transferable and have no monetary value outside the Service
• May be reduced or reset as a consequence of violations of these Terms

9.3 Virtual Rewards & Referral Credits

Any virtual credits, badges, levels, or rewards earned on Konexyon ("Virtual Items"):

• Have no real-world monetary value and cannot be redeemed for cash
• Are licensed to you, not sold — Konexyon retains ownership at all times
• May be forfeited if your account is suspended or terminated
• May be modified, deprecated, or removed at Konexyon's discretion
• Are not transferable to other users or accounts

Konexyon is not responsible for any loss of Virtual Items resulting from account termination, service modifications, or technical errors, except where required by applicable law.

9.4 Check-ins and Ratings

Check-ins and post-plan ratings are used to build reputation and social credit. Fraudulent check-ins (faking proximity to a plan location) or fraudulent ratings (coordinated positive or negative rating campaigns) are prohibited and may result in loss of social credit and account suspension.

9.5 Organiser-Specific Indemnification

By creating a Plan on Konexyon, you assume the role of Organiser and, as a condition of doing so, you specifically and irrevocably agree to defend, indemnify, and hold harmless Konexyon and the Konexyon Parties from and against any and all claims, demands, proceedings, damages, obligations, losses, liabilities, regulatory fines, costs, and expenses — including reasonable legal fees — arising from or related to:

• The Plan you created, its content, accuracy, description, or any representation you made about it
• The execution, conduct, or management of the Plan, including any incident occurring at, during, or in connection with the Plan
• Any injury, death, property damage, loss, or other harm suffered by any attendee, third party, or bystander in connection with your Plan
• Your failure to obtain or maintain any required permits, licences, authorisations, or insurance for the Plan or its venue
• Any violation of applicable law in connection with the Plan, including health and safety, alcohol licensing, noise ordinances, and public order regulations
• Any claim by an attendee that the Plan was misrepresented, unsafe, inaccessible, or otherwise not as described
• Any regulatory investigation or sanction triggered by your Plan or its content

This Organiser indemnification is in addition to, and does not limit or replace, the general user indemnification in Section 18. It survives cancellation of the Plan, deletion of your Account, and termination of these Terms. Konexyon is not a co-organiser, joint organiser, or co-responsible party in relation to any Plan under any circumstances, regardless of any feature, tool, or promotional support Konexyon may have provided in connection with the Plan.

10. Paid Subscriptions

10.1 Subscription Plans

Konexyon may offer paid subscription tiers ("Premium"). By subscribing, you agree to pay the applicable fees at the frequency stated at checkout (monthly or annually).

10.2 Billing and Automatic Renewal

Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel. We will send you a renewal reminder by email at least 7 days before each renewal. You authorise Konexyon to charge your payment method on file at each renewal. Cancellation must be made at least 24 hours before the renewal date to take effect for that period. All prices are shown inclusive of applicable taxes where required by law.

10.3 Cancellations and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Except where required by law, we do not provide refunds for partial subscription periods.

For purchases made through the Apple App Store or Google Play, refund requests must be directed to Apple or Google respectively under their applicable refund policies.

10.4 Price Changes

We will give you at least 30 days' notice before increasing subscription prices. Continued use after the new price takes effect constitutes acceptance of the new price.

10.5 Right of Withdrawal (EEA Consumers)

If you are a consumer resident in the European Economic Area, you have the right to withdraw from a subscription contract within 14 calendar days of the date of purchase, without giving any reason, in accordance with Directive 2011/83/EU on Consumer Rights as implemented in Spain by Royal Decree-Law 1/2007 (TRLGDCU).

How to exercise this right: Send an unambiguous statement to [email protected] before the 14-day period expires. You may use the model form below (not obligatory):

Effect of withdrawal: We will reimburse all payments received within 14 days of receiving your notice, using the same payment method unless you agree otherwise.

Loss of right: If you expressly request that service begins immediately during the withdrawal period and the service is fully performed before the 14 days expire, you lose your right of withdrawal. By starting your subscription you expressly consent to immediate commencement and acknowledge this consequence.

10.6 Pre-Contractual Information (Dir. 2011/83/EU Art. 6 & 8)

Before completing a subscription purchase, Konexyon will display the following mandatory pre-contractual information at the point of checkout:

• Total price inclusive of all taxes and charges
• Billing frequency (monthly or annual) and automatic renewal terms
• Minimum contract duration (one billing period) and conditions for termination
• Summary of the right of withdrawal and how to exercise it
• Digital content characteristics and technical compatibility

The subscription button will be labelled "Subscribe — obligation to pay" (or equivalent clear language) as required by Art. 8(2) of Directive 2011/83/EU. Clicking it constitutes your confirmation that you have received and understood the pre-contractual information.

11. Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and share your personal data. By using the Service, you agree to our Privacy Policy.

12. Third-Party Services

The Service may link to, integrate with, or be distributed through third-party services (app stores, mapping providers, payment processors, etc.). Your use of such third-party services is governed by their respective terms and privacy policies. Konexyon is not responsible for the content, policies, or practices of any third-party service.

13. Copyright & DMCA

13.1 Respect for Intellectual Property

Konexyon respects intellectual property rights and expects users to do the same. We will respond to clear and complete notices of alleged copyright infringement in accordance with applicable law.

13.2 How to Submit a Copyright Infringement Notice

If you believe that content on Konexyon infringes your copyright, send a notice to [email protected] containing:

1. A physical or electronic signature of the copyright owner or authorised agent
2. Identification of the copyrighted work you claim has been infringed
3. Identification of the material claimed to be infringing, with enough detail for us to locate it (URL or description)
4. Your contact information (name, address, telephone, email)
5. A statement that you have a good-faith belief that use of the material is not authorised by the copyright owner, its agent, or the law
6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on behalf of the owner

13.3 Counter-Notice

If your content was removed in response to a copyright notice and you believe the removal was in error or that you have authorisation to use the material, you may submit a counter-notice to [email protected] containing:

1. Your physical or electronic signature
2. Identification of the content that was removed and its location on the Service before removal (URL or description)
3. A statement under penalty of perjury that you have a good-faith belief the content was removed as a result of mistake or misidentification
4. Your name, address, and telephone number
5. A statement that you consent to the jurisdiction of the courts of your place of residence and will accept service of process from the party who submitted the original infringement notice

Upon receipt of a valid counter-notice, we will transmit it to the original complaining party and restore the content within 10–14 business days, unless the complaining party notifies us they have initiated legal proceedings to restrain reinstatement.

13.4 Repeat Infringers

Konexyon will terminate accounts of users who are found to be repeat copyright infringers.

14. Moderation & Enforcement

14.1 Content Moderation

Konexyon moderates content through a combination of automated tools and human review. We reserve the right — but are not obligated — to review, monitor, remove, or restrict access to any User Content that violates these Terms or our Community Guidelines.

14.2 Reporting

Users can report content or accounts they believe violate these Terms using the in-app reporting feature. We review all reports and take action where violations are confirmed, but we cannot guarantee specific outcomes or response times.

14.3 Moderation Decisions

Moderation decisions are made at Konexyon's sole discretion. Konexyon is not liable for content that has not yet been reviewed or for content that we decide not to remove despite being reported.

14.4 Recommender System Transparency (DSA Art. 27)

Konexyon uses automated recommendation systems to determine the content, plans, and profiles you see. In accordance with Article 27 of the Digital Services Act (DSA), we disclose the following principal parameters used by our recommender systems:

• Proximity: Plans and users geographically near your current or usual location are ranked higher
• Interest matching: Content aligned with the interests and categories you selected during onboarding and in your profile
• Social graph: Plans attended or created by users you have matched with or interacted with
• Social credit score: Organisers with higher reliability scores (attendance rate, ratings received) are ranked higher in plan discovery
• Activity recency: Recently active users and recently created or updated plans receive a freshness boost
• Engagement signals: Plans with higher join rates, check-in rates, and post-event ratings receive a relevance boost
• Swipe history: In the match-discovery feed, profiles you have previously skipped are deprioritised

You can influence your recommendations by updating your interests in your profile, adjusting your location preferences, and managing your privacy settings. You may not opt out of location-based ranking if you choose to use location-dependent features.

15. Account Suspension and Termination

15.1 Termination by Konexyon

Konexyon may suspend or permanently terminate your account and access to the Service when it reasonably determines that one or more of the following applies. Konexyon will generally provide advance notice where feasible and where doing so would not enable further harm, facilitate evasion, or violate applicable law:

• Violation of these Terms or our Community Guidelines
• Conduct that harms other users, third parties, or Konexyon
• Conduct that creates legal liability or regulatory risk for Konexyon
• Fraudulent, deceptive, or abusive use of the Service

Suspension or termination measures will be proportionate to the nature and severity of the conduct, consistent with Konexyon's obligations under applicable platform regulation including the Digital Services Act (DSA).

15.2 Appeals

If you believe your account was suspended or terminated in error, you may appeal by emailing [email protected] within 30 days of the action, with a description of why you believe the decision was incorrect. We will review your appeal and respond within 14 business days. If you are not satisfied with our response, you may go to the courts or, where available, to a certified out-of-court dispute settlement body under Article 21 of Regulation (EU) 2022/2065. Konexyon is currently a micro-enterprise within the meaning of Article 19 of that Regulation and is not required to engage with such bodies, but will engage in good faith with any procedure brought before it.

15.3 Termination by You

You may terminate your account at any time by going to Settings → Account → Delete Account. Account deletion is permanent and cannot be undone after the 30-day grace period described in our Privacy Policy.

15.4 Effect of Termination

Upon termination: your right to access and use the Service ceases immediately; your profile and content will be removed according to our data retention schedule; any Virtual Items, social credit, and pending referral rewards are forfeited without compensation.

Sections 5, 16, 17, 18, 19, 20, and 21 survive termination.

16. Disclaimers

16.0 Your rights as a consumer prevail

If you are a consumer resident in Spain or the European Union, no clause of these Terms may deprive you of the rights granted to you by mandatory consumer legislation, in particular Spanish Royal Legislative Decree 1/2007 (TRLGDCU). Specifically, and notwithstanding any other provision of these Terms:

• Konexyon does not exclude or limit in any way its liability for death or personal injury caused by its own act or omission, nor for wilful misconduct, nor for wilful or grossly negligent breach of its obligations.
• The statutory limitation and expiry periods for bringing a claim apply in full. No clause of these Terms shortens them.
• You are under no obligation to indemnify Konexyon for administrative penalties imposed on Konexyon.
• You may sue Konexyon before the courts of your place of residence, and you may only be sued before the courts of your place of residence, in accordance with Articles 17 to 19 of Regulation (EU) 1215/2012.
• You are not required to submit to arbitration. Any reference to arbitration in these Terms applies exclusively to users who are not consumers.
• Deleting your account does not waive any claim you already had.

Any clause of these Terms that contradicts the above is deemed not to have been written as far as you are concerned.

16.1 Service Availability

Konexyon does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free at any time; (b) results obtained from using the Service will be accurate, reliable, or complete; (c) any errors, defects, or vulnerabilities in the Service will be corrected; (d) the Service or any server that makes it available is free of viruses, malware, or other harmful components; (e) the Service will be available in any particular location or at any particular time. Use of the Service is at your sole risk.

16.2 User Conduct Disclaimer

Konexyon is a platform that facilitates connections between users. Konexyon does not control, and expressly disclaims all liability for, the actions, omissions, conduct, and content of any user, whether on or off the Service. Konexyon does not investigate, verify, vet, screen, or background-check any user, and makes no representations about the character, identity, criminal history, intentions, competence, or trustworthiness of any user. The presence of a user on Konexyon does not constitute an endorsement, recommendation, or verification of that user by Konexyon in any respect.

16.3 Assumption of Risk for In-Person Meetups

By using the Service to connect with and meet other users in person, you expressly acknowledge and agree that:

• Meeting strangers — including people you have connected with online — carries inherent and potentially serious risks, including but not limited to: physical violence, sexual assault, theft, fraud, property damage, accident, illness, and death
• You are solely responsible for assessing the safety of any in-person meetup, the suitability of any venue, and the trustworthiness of any user you agree to meet
• Konexyon has no obligation to, and does not, conduct background checks, identity verification, or criminal record checks on users. Konexyon does not verify that users are who they claim to be
• You will take all reasonable personal safety precautions appropriate to the circumstances, including but not limited to: meeting in public places, informing others of your whereabouts, and exercising caution when sharing personal contact information
• Any claims, demands, or causes of action arising from your in-person interactions with other users shall be brought against the individual user(s) involved, and not against Konexyon

Before meeting someone from Konexyon: meet in a public, busy place, tell someone you trust where you are going and with whom, do not share your home address or banking details, and leave if anything makes you uncomfortable. If at any point you fear for your safety, call 112.

The organiser of each plan is solely responsible for the activity being safe and lawful and for obtaining any permits, authorisations, and insurance it requires.

By using Konexyon you acknowledge that you have read and understood these warnings and that you voluntarily assume the risks inherent in meeting people in person. This does not exclude or limit any liability Konexyon may have for its own acts or omissions, in particular for failing to act once a report has been brought to its knowledge (Section 16.0).

16.4 No Verification of Plan Content

Konexyon does not verify, endorse, or guarantee: (a) the accuracy, completeness, legality, or safety of any plan listed on the Service; (b) that any plan organiser holds the necessary permits, licences, or permissions for the planned activity; (c) that any venue listed is safe, accessible, or legally available; (d) that any plan will actually take place as described. You attend any plan organised through the Service entirely at your own risk.

16.5 Platform Operator Safe Harbour (DSA Art. 6 / LSSI-CE)

Konexyon operates as a hosting intermediary service provider. Since 17 February 2024, Konexyon's liability for user-generated content hosted on the Service is governed primarily by Article 6 of the Digital Services Act (Regulation (EU) 2022/2065 — "DSA"), which superseded Directive 2000/31/EC (E-Commerce Directive) for EU/EEA operations. Under DSA Art. 6, Konexyon is not liable for illegal user-generated content unless and until: (a) Konexyon has actual knowledge of specific illegal content or circumstances that make the illegal nature apparent; and (b) upon obtaining such knowledge, fails to act expeditiously to remove or disable access to that content. For domestic Spanish law purposes, LSSI-CE Arts. 16–17 continue to apply in parallel. The reporting mechanism described in Section 14 constitutes the primary mechanism for providing the requisite knowledge to Konexyon, triggering the obligation to act expeditiously. Any claim that Konexyon is liable for user-generated content must therefore first demonstrate that Konexyon had actual knowledge of the specific illegal content and failed to act — mere general awareness of the possibility of illegal content is insufficient to defeat this safe harbour.

16.6 Third-Party Content and Links

The Service may contain links to, or display content from, third-party websites, services, and platforms. Konexyon does not control, and expressly disclaims all liability for, any third-party content, products, services, or websites. The inclusion of a link or reference does not imply endorsement by Konexyon. Your interactions with third parties, including payment providers and social platforms, are governed solely by those third parties' terms and policies.

16.7 No Warranty on Social Credit or Recommendation Accuracy

Konexyon's social credit algorithm, recommendation engine, and matching system are provided without warranty of any kind. Konexyon does not represent that social credit scores accurately reflect the character or reliability of any user, that recommended plans or users are suitable for you, or that the output of any algorithmic system will be accurate, fair, or unbiased in any respect. These systems are provided as convenience features only.

16.8 Health, Physical Activity, and Medical Disclaimer

Konexyon does not provide medical, health, nutritional, fitness, or safety advice. Plans organized through the Service may involve physical activities including but not limited to: hiking, running, climbing, cycling, swimming, team sports, gym training, combat sports, and other strenuous or potentially hazardous activities. Konexyon does not verify or assess the physical fitness, health status, or medical suitability of any participant for any activity. You are solely responsible for assessing your own physical condition and for consulting with a qualified medical professional before participating in any activity that may affect your health. Konexyon expressly disclaims all liability for any injury, illness, aggravation of a pre-existing condition, or adverse health outcome resulting from or connected to any activity organized through the Service.

16.9 Alcohol, Controlled Substances, and Personal Responsibility

Konexyon does not endorse, facilitate, or encourage the consumption of alcohol, controlled substances, prescription medication, or any other intoxicant. Where plans organized through the Service involve licensed premises, bars, restaurants, or social gatherings where alcohol or other substances may be available, each user is exclusively and entirely responsible for their own consumption decisions. Konexyon bears no responsibility whatsoever for any event, injury, damage, accident, or legal consequence resulting from a user's consumption of alcohol or any other substance before, during, or after any activity organized through the Service, including any consequence to third parties.

16.10 Organiser Responsibility for Permits, Licences, and Insurance

The user who creates a plan ("Organiser") is solely and exclusively responsible for: (a) obtaining all permits, licences, authorisations, and official approvals required for the planned activity and venue under applicable local, regional, and national law; (b) complying with all regulations applicable to the activity, including health and safety requirements; (c) procuring any event liability insurance, public liability insurance, or other insurance coverage reasonably appropriate for the nature, scale, and foreseeable risks of the activity; (d) clearly notifying participants of any inherent risks associated with the activity; and (e) ensuring that the activity is conducted in a safe and lawful manner. Konexyon is not a co-organiser, joint organiser, or responsible party in relation to any plan, and bears no liability for any failure by an Organiser to obtain necessary permits, authorisations, or insurance.

16.11 Automated Systems and Artificial Intelligence

Konexyon uses automated decision-making systems and artificial intelligence technologies across multiple areas of the Service, including: content recommendation and discovery algorithms; social credit and reputation scoring; fraud detection and account security systems; content moderation assistance; user matching and compatibility assessment; and automated customer support. These systems are designed to improve user experience and platform safety, but Konexyon does not guarantee the accuracy, fairness, completeness, or absence of bias in any output produced by automated systems. Decisions with significant effect on users — including account suspension, social credit deductions, and content removal — are subject to human review upon request as described in these Terms. Where required by applicable law, including Article 22 of the GDPR, you have the right to request human review of any automated decision that significantly affects you.

16.12 Force Majeure and Extended Service Disruption

Konexyon shall not be liable for any failure or delay in performing its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, floods, earthquakes, storms, extreme weather events, pandemics, epidemics, public health emergencies, acts of war, terrorism, civil unrest, sanctions, government orders or regulatory changes, fire, explosion, power outages, telecommunications failures, internet service provider outages, cyberattacks (including distributed denial-of-service attacks, ransomware, supply chain attacks, and state-sponsored intrusions), failures or disruptions of third-party cloud infrastructure providers (including but not limited to AWS, Google Cloud Platform, and Supabase), failures of third-party APIs and services upon which the Service depends, AI model failures or degradation, hardware failures, and any other event or cause beyond Konexyon's reasonable control. In any force majeure event, Konexyon's performance obligations are suspended for the duration of the event, and Konexyon will use commercially reasonable efforts to restore the Service as promptly as practicable.

16.13 No Fiduciary Duty; No Professional Advice

The relationship between you and Konexyon is that of independent contracting parties. Nothing in these Terms, the Service, or your use thereof creates a fiduciary relationship, advisory relationship, agency, partnership, joint venture, employment, or any other special duty of care between you and Konexyon. Konexyon does not act as your advisor, agent, broker, matchmaker, background-screening service, safety authority, or representative in any professional, legal, or personal capacity. In particular:

• Social credit scores are statistical algorithmic outputs — not character references, endorsements, certifications, or professional assessments of any user's trustworthiness, reliability, or suitability
• Matches, recommendations, and plan suggestions are algorithmic convenience outputs — not professional advice, personal introductions, vetted referrals, or safety assessments
• Content moderation decisions are internal platform safety measures — not legal findings, factual determinations, or judicial rulings
• No information, notification, push message, or output produced by Konexyon or the Service constitutes legal, medical, psychiatric, financial, safety, or any other form of professional or regulated advice

You are solely responsible for independently assessing the suitability, safety, and character of any person, plan, venue, or activity before relying on any recommendation, match, or signal produced by the Service. Konexyon's provision of algorithmic outputs does not transfer to Konexyon any portion of the duty of care, judgment, or due diligence that rests exclusively with you.

16.14 Screenshots and Off-Platform Content Distribution

Konexyon does not control what users do with content accessed through the Service outside the platform. By using the Service, you expressly acknowledge and agree that:

• Any screenshot, screen recording, download, screen capture, or other reproduction of content from the Service — including other users' profiles, photographs, private messages, plans, location data, or any other personal information — is made at your sole risk and is exclusively your responsibility
• Capturing and distributing content from the Service outside the platform may constitute a violation of GDPR Art. 5–6, the Spanish Organic Law on data protection, the right to privacy and own image (Ley Orgánica 1/1982), and applicable copyright law, for which you bear sole civil and criminal liability
• Konexyon bears no liability whatsoever for any harm arising from content captured from the Service and distributed, published, or used by you or any third party outside the Service, regardless of how such capture occurred
• Capturing another user's personal data from the Service without their consent for purposes other than private personal use constitutes a breach of these Terms and grounds for immediate account termination

16.15 Criminal and Tortious Conduct — Sole User Responsibility

If you use the Service to commit, facilitate, plan, coordinate, or otherwise assist any criminal offence, tortious act, or violation of applicable law — including but not limited to: fraud, assault, stalking, harassment, coercion, extortion, sexual offences, theft, non-consensual distribution of intimate images, identity theft, defamation, unlawful data collection, or any offence under the Spanish Penal Code (Código Penal) or equivalent legislation of your jurisdiction — you are solely and exclusively responsible for all resulting civil, criminal, and administrative liability.

Konexyon's provision of a communications and social platform that incidentally enabled contact between the parties shall not, in and of itself, constitute participation in, facilitation of, contribution to, or joint tortfeasance in respect of any such offence or act. This is subject to, and does not override, Konexyon's obligations as a hosting provider under DSA Art. 6 and LSSI-CE Arts. 16–17 to act expeditiously upon actual knowledge of illegal content. Konexyon's failure to prevent unknown criminal conduct by users does not give rise to any civil claim against Konexyon in respect of that conduct.

17. Limitation of Liability

17.1 Aggregate Liability Cap

In no event shall the total cumulative liability of the Konexyon Parties to you for all claims, demands, actions, losses, damages, costs, and expenses — whether in contract, tort, negligence, or otherwise — arising from or related to these Terms or the Service, exceed the greater of:

• €100 (one hundred euros), or
• The total fees actually paid by you to Konexyon in the 12 calendar months immediately preceding the event giving rise to the claim

This cap applies to the aggregate of all claims, not per claim. Multiple claims arising from the same set of facts or circumstances are treated as a single claim for the purposes of this cap. This cap does not apply to liability that cannot be limited or excluded under applicable mandatory law (including statutory consumer rights, liability for death or personal injury caused by negligence, or liability for fraud).

17.2 Specific Exclusions

Without limiting the generality of the foregoing, Konexyon expressly excludes all liability for:

• Any harm, loss, or damage arising from or in connection with: (a) in-person meetings, plans, or activities organised through the Service; (b) the conduct, acts, or omissions of any user; (c) reliance on any user-generated content
• Any unauthorized access to or use of Konexyon's servers or infrastructure, or any personal data stored therein, to the extent such access results from a third-party attack
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or similar malicious code that may be transmitted to or through the Service by any third party
• Any loss arising from actions taken by Konexyon in good faith reliance on information provided by you or other users
• Any social credit deductions, Virtual Item forfeitures, or account suspensions made in accordance with these Terms

17.3 Statute of Limitations

Any claim or cause of action you have arising out of or related to these Terms or the Service must be filed within one (1) year after the date on which the claim or cause of action arose. If you fail to bring any claim within this period, it shall be permanently time-barred, regardless of any longer statutory limitation period that might otherwise apply. This one-year limitation period is a material term of this agreement and does not apply to the extent prohibited by mandatory applicable law (including EU consumer protection law, which may prescribe non-waivable minimum limitation periods).

17.4 Essential Basis of the Bargain

You acknowledge that the limitations of liability set out in this Section 17 reflect a reasonable and fair allocation of risk between you and Konexyon, that Konexyon would not have made the Service available to you (in particular at no charge) but for these limitations, and that these limitations shall apply notwithstanding any failure of essential purpose of any limited remedy provided in these Terms.

17.5 Consumer Rights (EU / Spain)

Nothing in this Section 17 limits Konexyon's liability for: (a) death or personal injury caused by Konexyon's proven gross negligence or wilful misconduct; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited by applicable mandatory law, including mandatory EU consumer rights. Where applicable mandatory law (such as Spanish consumer legislation — Real Decreto Legislativo 1/2007 — or applicable EU directives) grants you rights that cannot be waived by contract, those rights are not affected by this Section.

17.6 Duty to Mitigate

You are under an obligation to take all reasonable steps to mitigate any loss, damage, or harm you suffer in connection with your use of the Service. To the extent that any loss, damage, or harm you claim is attributable in whole or in part to your failure to take reasonable mitigation steps, Konexyon's liability (if any exists at all) shall be reduced proportionally. Konexyon shall not be liable for losses that would not have occurred, or would have been materially smaller, had you acted reasonably to limit your exposure. Examples of mitigation steps include, without limitation: ceasing use of the Service upon first discovering harm; blocking users who harass or threaten you using the Service's built-in tools; reporting harmful or illegal content promptly through the in-app reporting mechanism; contacting emergency services where personal safety is at immediate risk.

17.7 Defect Notice Requirement

As a condition precedent to any damages claim against Konexyon, you must provide written notice to [email protected] of any alleged defect, breach, harm, or loss arising from your use of the Service within 30 days of the date on which you first became aware, or reasonably should have become aware, of the relevant facts. Failure to provide timely notice shall, to the maximum extent permitted by applicable mandatory law: (a) bar any claim for damages that could have been reduced or avoided had Konexyon been promptly notified; and (b) constitute a material factor against the claimant in any subsequent dispute resolution or arbitration. This notice requirement does not replace or shorten any non-waivable limitation period under applicable mandatory consumer protection law; it operates as an additional procedural condition precedent to bringing claims for which Konexyon had a real opportunity to remedy the underlying issue.

18. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Konexyon and its officers, directors, employees, contractors, licensors, sub-licensors, agents, successors, assigns, and shareholders (collectively, the "Konexyon Parties") from and against any and all claims, demands, proceedings, investigations (including regulatory investigations), damages, obligations, losses, liabilities, costs, debts, and expenses — including reasonable legal fees, court costs, arbitration costs, expert witness fees, and settlement amounts — arising from or related to:

• Your use of, access to, or inability to use the Service, including all activities conducted through your Account whether or not authorised by you
• Your violation of any provision of these Terms, the Privacy Policy, or any other Konexyon policy or guideline
• Your violation of any applicable law, regulation, rule, or order, including data protection, consumer protection, intellectual property, and privacy laws
• Any User Content you post, transmit, or make available through the Service, including any claims that your User Content infringes a third party's intellectual property rights, privacy rights, or other rights
• Your negligence, gross negligence, wilful misconduct, or fraudulent misrepresentation
• Your in-person participation in any plan, event, or activity arranged through the Service, including any personal injury, property damage, or other harm caused to or by you
• Any regulatory complaint, investigation, or sanction brought by any supervisory authority, data protection authority, or enforcement body as a result of your use of the Service or User Content you have submitted
• Any claim by a third party that arises from your interactions with that third party facilitated through the Service
• Any misrepresentation you made to Konexyon during registration or at any other time

Konexyon reserves the right, at its sole discretion and at your expense, to assume exclusive defence and control of any matter subject to indemnification by you. In such event, you agree to: (a) cooperate fully with Konexyon's defence of such claims; (b) not settle any such claim without Konexyon's prior written consent; (c) provide all assistance and information Konexyon reasonably requests. Your indemnification obligations under this Section survive the termination of your Account and these Terms.

18.2 Regulatory Fines and Sanctions

Without limiting Section 18.1, if any regulatory authority, data protection supervisory authority (including the Spanish Agencia Española de Protección de Datos — AEPD), consumer protection body, competition authority, content regulator, or other governmental or administrative body:

• Initiates any investigation, audit, proceeding, or enforcement action against Konexyon; or
• Imposes any fine, penalty, sanction, remedial order, or compliance cost on Konexyon;

arising directly or indirectly from: (a) your User Content, including content found to be illegal, infringing, defamatory, or in violation of data protection law; (b) your conduct on or through the Service; (c) your misrepresentation of your eligibility, age, identity, or any other matter; (d) your operation of a Plan that violated applicable law; or (e) your breach of any warranty in Section 5.7 — you agree to reimburse Konexyon for all such fines, penalties, sanctions, compliance costs, remediation expenses, and reasonable legal fees to the fullest extent permitted by applicable law. This obligation applies regardless of whether Konexyon was a named party in the regulatory proceeding or whether the regulatory action was triggered by a third-party complaint about your conduct.

18.3 User-to-User Disputes — Konexyon Not a Party

Konexyon facilitates connections between users but is not a party to any dispute between users. If you have a dispute with another user arising from or related to use of the Service — including disputes relating to in-person Plans, User Content, ratings, messages, matchings, or any other interaction or conduct — your exclusive legal recourse is against the individual user(s) involved, not Konexyon. You expressly agree:

• Not to name, join, or implead Konexyon as a defendant, third party, or responsible party in any legal proceeding arising from a user-to-user dispute, except where Konexyon's own independent affirmative conduct (distinct from and beyond the mere provision of the platform) is specifically and directly at issue
• To release Konexyon from any claim arising from the acts, omissions, content, or conduct of any other user, to the maximum extent permitted by applicable law
• That Konexyon's provision of tools that enabled contact between you and another user does not make Konexyon a joint tortfeasor, co-conspirator, or responsible party in any dispute arising from that contact

Konexyon may — but is not obligated to — voluntarily provide information or mediation assistance in user-to-user disputes at its sole discretion. Any such voluntary assistance does not constitute an admission of liability, an assumption of dispute-resolution obligations, or a waiver of any right of Konexyon.

19. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

For users in the European Union who are consumers, mandatory consumer protection laws of your country of residence may also apply and will take precedence over this clause where required by EU law.

Subject to Section 20 (Arbitration), exclusive jurisdiction for any disputes that proceed to litigation shall be the courts of Las Palmas de Gran Canaria, Spain.

20. Dispute Resolution & Arbitration

20.1 Informal Resolution First

Before initiating any formal dispute proceeding, you agree to contact Konexyon at [email protected] and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days of your initial notice, either party may proceed to arbitration.

20.2 Binding Arbitration

Scope — who this applies to: The binding arbitration obligation in this Section 20.2 applies exclusively to: (a) business users and professionals using the Service in the course of their trade or business; and (b) disputes that do not arise from rights that cannot be waived under applicable mandatory consumer protection law. If you are a consumer resident in the European Union or European Economic Area, you are not required to resolve your dispute through binding arbitration, and you retain the full right to bring claims before your national courts or through the Spanish consumer arbitration boards (Juntas Arbitrales de Consumo), the Consumer Affairs Directorate of the Government of the Canary Islands, or, for cross-border disputes, the European Consumer Centres Network (ECC-Net).

For disputes within the scope of this Section 20.2, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including the validity, interpretation, breach, or termination thereof — that cannot be resolved informally pursuant to Section 20.1 shall be resolved exclusively by binding arbitration administered by the Corte de Arbitraje de Madrid (CAM) under its then-current Arbitration Rules. For disputes involving parties outside Spain, the arbitration may alternatively be administered by the ICC International Court of Arbitration (Paris) under its then-current Rules, at Konexyon's election.

The arbitration shall be: (a) conducted before a single arbitrator, unless the disputed amount exceeds €500,000, in which case a panel of three arbitrators shall be appointed; (b) conducted in the Spanish language (or in English if both parties agree); (c) seated in Madrid, Spain; (d) governed by Spanish substantive law. The arbitrator's award shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction. The arbitration shall be conducted on a confidential basis — neither party may disclose the existence, content, or results of any arbitration without the prior written consent of the other party, except as required by applicable law.

Cost allocation: Each party shall bear its own legal fees and costs. CAM/ICC filing fees shall be shared equally, unless the arbitrator determines that one party's position was frivolous or brought in bad faith, in which case the arbitrator may award full costs against that party.

20.3 Exceptions to Arbitration

The following categories of disputes may be brought directly before courts of competent jurisdiction rather than arbitration, without first complying with the informal resolution requirement of Section 20.1: (a) applications for emergency injunctive, interim, or conservatory relief to prevent irreparable harm; (b) claims that qualify for and are brought in small claims court (juzgado de primera instancia) where available; (c) claims by Konexyon to enforce its intellectual property rights, including copyright, trademark, and trade secret claims; (d) claims by Konexyon to collect unpaid fees or recover property.

20.4 Batch Arbitration Prohibition

To prevent the strategic use of mass arbitration filings to circumvent this agreement, you agree not to file more than one arbitration claim against Konexyon within any 30-day period. If 25 or more substantively similar arbitration demands are filed by coordinated claimants or their counsel within any 90-day period, all such claims shall be consolidated and resolved in a single proceeding before one arbitrator, or at Konexyon's election, resolved in a court of competent jurisdiction in Madrid.

20.5 Out-of-Court Dispute Settlement (DSA Art. 21)

In accordance with Article 21 of the Digital Services Act (DSA), EU users have the right to refer content moderation disputes to a certified out-of-court dispute settlement body free of charge, instead of or after exhausting Konexyon's internal appeals process (Section 15.2).

Konexyon recognises any out-of-court dispute settlement body certified under DSA Art. 21 by the competent Digital Services Coordinator. The body's decision is not binding on Konexyon in all cases, but Konexyon will engage in good faith and implement any outcome required by applicable law. For the current list of certified bodies in Spain, consult the Secretaría de Estado de Digitalización e Inteligencia Artificial (SEDIA).

Additionally, EU consumers may use the Spanish consumer arbitration boards (Juntas Arbitrales de Consumo), the Consumer Affairs Directorate of the Government of the Canary Islands, or, for cross-border disputes, the European Consumer Centres Network (ECC-Net) for disputes relating to online services and contracts.

21. Class Action Waiver

22. General Provisions

22.1 Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Konexyon with respect to the Service and supersede all prior agreements, representations, warranties, and understandings.

22.2 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the enforceability of the remaining provisions.

22.3 No Waiver

Konexyon's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver by Konexyon of any breach shall be deemed a waiver of any subsequent breach.

22.4 Force Majeure

Konexyon will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, riots, civil disturbance, fire, flood, earthquake, epidemics or pandemics, strikes, government action, or failure of internet or telecommunications infrastructure.

22.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without Konexyon's prior written consent. Konexyon may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

22.6 Language

These Terms are offered in English and Spanish. In the event of any conflict between the two language versions, the Spanish version shall prevail for users resident in Spain, and the English version shall prevail for users in all other jurisdictions.

22.7 No Third-Party Beneficiaries

These Terms are entered into solely for the benefit of you and Konexyon. Nothing in these Terms, express or implied, is intended to or shall confer upon any third party any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms, unless expressly stated otherwise herein. This clause does not affect the rights of any person under applicable consumer protection or data protection law.

22.8 No Oral Modification

These Terms may not be amended, modified, or supplemented by any oral statement, representation, or course of dealing. Any modification to these Terms must be made in writing, signed (or electronically accepted) by Konexyon's authorised representative and published in accordance with Section 23.

22.9 Relationship of the Parties

Nothing in these Terms creates or implies a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and Konexyon. You have no authority to make or accept any offers or representations on Konexyon's behalf. Konexyon and you are independent contracting parties.

22.10 Geographic Restrictions and Export Controls

Konexyon controls and operates the Service from Spain. Konexyon makes no representation that the Service is appropriate or available for use in all countries or jurisdictions. You are solely responsible for ensuring your use of the Service complies with all laws and regulations applicable to you in your jurisdiction. You agree not to access or use the Service: (a) from any country or territory subject to a comprehensive trade embargo or sanctions programme of the EU, Spain, or the United States; (b) if you are listed on any applicable restricted persons or entities list; (c) for any purpose that would violate applicable export control or sanctions laws. Konexyon reserves the right to restrict access to the Service from any country or jurisdiction at its sole discretion.

22.11 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms. The word "including" and its derivatives shall be construed as "including without limitation."

22.12 Survival

The following Sections shall survive the expiration or termination of these Terms for any reason and shall remain in full force and effect: Definitions, Section 5 (Content License), Section 16 (Disclaimers), Section 17 (Limitation of Liability), Section 18 (Indemnification), Section 20 (Dispute Resolution), and this Section 22 (General Provisions), en todo caso sin perjuicio de la Sección 16.0.

22.13 Binding Electronic Acceptance

Your acceptance of these Terms — whether by clicking "I agree," "Accept," "Create Account," "Sign up," or any equivalent confirmation during registration, at account login, or in response to an in-app prompt — constitutes a legally binding electronic signature within the meaning of Regulation (EU) No 910/2014 (eIDAS) and applicable Spanish law (Ley 59/2003 de Firma Electrónica, as amended). You acknowledge and agree that:

• Electronic acceptance is fully equivalent to a handwritten signature and creates a legally binding contract of the same force and effect
• You will not challenge the validity, enforceability, or formation of these Terms on the basis that acceptance was given electronically or by click-through
• Konexyon maintains server-side logs of acceptance timestamps, IP addresses, device identifiers, and version of Terms accepted; these logs constitute prima facie evidence of the existence, date, and scope of your acceptance
• Acceptance of updated Terms — whether by affirmative click or by continued use of the Service after the effective date, where permitted by Section 23 — is equally binding on you

22.14 No Reliance on External Statements

These Terms and the Privacy Policy constitute the entire and exclusive agreement between you and Konexyon regarding the Service. No statement, representation, advertisement, marketing material, promotional content, blog post, social media post, interview, press release, webinar, help article, customer support response, or oral or written communication made by Konexyon or any of its officers, employees, agents, contractors, or affiliates — outside of these Terms and the Privacy Policy — creates any contractual right, obligation, warranty, or representation on Konexyon's behalf. You may not rely on any such external statement as the basis for any claim against Konexyon. If there is any conflict between an external statement and these Terms, these Terms prevail.

22.15 Comparative and Contributory Fault

Where applicable law permits apportionment of liability by reference to the relative fault of the parties, any liability of Konexyon shall be reduced proportionally by the degree to which your own act, omission, negligence, breach of these Terms, or failure to mitigate contributed to the loss or damage you claim. In cases where your contributory fault equals or exceeds Konexyon's own fault — if any — Konexyon's liability shall be zero. This clause applies in addition to, and does not limit, the duty to mitigate in Section 17.6.

23. Changes to These Terms

Konexyon may update these Terms from time to time. We will notify you of material changes:

• By posting the updated Terms to this page with a new "Last updated" date
• Via in-app notification and/or email, at least 14 days before the changes take effect

For changes that significantly expand our rights or reduce your rights (e.g., adding an arbitration clause where none existed), we will obtain fresh consent before applying the new Terms to you.

Continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

Definiciones

Los siguientes términos tienen los significados que se les asignan a continuación dondequiera que aparezcan (en mayúscula) en estos Términos de Servicio. Donde el contexto lo requiera, las palabras en singular incluyen el plural y viceversa. Las referencias a "incluyendo" o "incluye" significan "incluyendo sin limitación". Las referencias a "a nuestra discreción" o "a la entera discreción de Konexyon" significan una decisión que Konexyon puede tomar por cualquier razón o sin razón alguna, sujeto solo a la ley obligatoria aplicable.

Estos Términos constituyen el acuerdo completo entre tú y Konexyon en relación con el Servicio (sujeto a la Sección 22.6) y reemplazan todos los acuerdos, declaraciones y entendimientos previos y contemporáneos, escritos u orales. En caso de conflicto entre estos Términos y la ley obligatoria aplicable, prevalecerá la ley aplicable.

1. Aceptación de los Términos

Al acceder o usar la aplicación móvil de Konexyon, el sitio web o cualquier servicio relacionado (conjuntamente, el "Servicio"), aceptas estar vinculado por estos Términos de Servicio y nuestra Política de Privacidad, que se incorpora por referencia.

Si usas el Servicio en nombre de una empresa u otra entidad legal, declaras que tienes autoridad para vincular a dicha entidad con estos Términos, y el término "tú" se refiere a esa entidad.

Estos Términos constituyen el acuerdo completo entre tú y Konexyon con respecto al Servicio y sustituyen todos los acuerdos anteriores.

2. Elegibilidad y declaraciones del usuario

Para usar Konexyon, debes cumplir todos los requisitos siguientes. Al crear una Cuenta o usar el Servicio, declaras y garantizas — como declaración continua durante todo el tiempo que uses el Servicio — que:

• Tienes al menos 14 años (o la edad mínima de consentimiento digital en tu jurisdicción, la que sea mayor)
• Tu uso del Servicio no infringe ninguna ley o regulación aplicable en tu país de residencia ni en ningún país desde el que accedas al Servicio
• No has tenido previamente tu cuenta terminada, suspendida o vetada por Konexyon por infringir estos Términos
• Proporcionarás y mantendrás información de registro precisa, actualizada y completa en todo momento
• No eres residente de, ni estás ubicado en, ni estás organizado bajo las leyes de ningún país sujeto a un embargo comercial integral administrado por la ONU, la UE, España o los EE. UU., y no estás incluido en ninguna lista de partes prohibidas o restringidas aplicable (incluyendo la Lista Consolidada de Sanciones de la UE o equivalentes)
• No tienes condena penal por delitos de violencia contra personas, delitos sexuales o delitos contra menores. Konexyon se reserva el derecho de restringir o eliminar el acceso a personas cuyo historial delictivo conocido pueda suponer un riesgo para la seguridad de otros usuarios, de conformidad con la ley aplicable y de forma proporcional al riesgo
• No usas el Servicio para ningún fin relacionado con el terrorismo, el extremismo, la radicalización ni ninguna actividad designada como acto terrorista bajo la ley española o de la UE aplicable
• Toda la información y el contenido que proporcionas a través del Servicio es veraz, preciso y no engañoso

Konexyon se reserva el derecho — pero no está obligado — de verificar cualquiera de los puntos anteriores en cualquier momento, a su entera discreción. Proporcionar declaraciones falsas en esta Sección constituye un incumplimiento material de estos Términos y motivo de terminación inmediata de la cuenta. Konexyon no tendrá ninguna responsabilidad por ningún daño derivado de la tergiversación de la elegibilidad por parte de un usuario.

3. Tu cuenta

3.1 Registro

Debes proporcionar una dirección de email válida y crear una contraseña segura. Eres responsable de mantener la confidencialidad de tus credenciales de acceso y de toda la actividad que ocurra bajo tu cuenta.

3.2 Seguridad de la cuenta y responsabilidad absoluta por la actividad

Eres absoluta e incondicionalmente responsable de toda la actividad que ocurra bajo tu Cuenta, sin excepción y con independencia de si dicha actividad fue autorizada por ti. Esto incluye, sin limitación, la actividad de: cualquier persona que acceda a tu Cuenta usando tus credenciales, con o sin tu conocimiento o consentimiento; bots o herramientas automatizadas que operen en tu Cuenta; personas que hayan obtenido acceso a tu Cuenta por tu falta de seguridad (por ejemplo, contraseña débil, respuesta a un phishing, dispositivo desbloqueado). Si eres consumidor, esta responsabilidad no alcanza a la actividad que no pudieras razonablemente controlar ni evitar, ni se te presume conformidad con ninguna actividad por el hecho de no comunicarla dentro de un plazo (Sección 16.0). Aceptas:

• Usar una contraseña segura y única, y mantenerla estrictamente confidencial en todo momento
• No compartir las credenciales de tu Cuenta con ninguna otra persona o entidad bajo ninguna circunstancia
• Activar las funciones de seguridad adicionales (como la autenticación en dos pasos) que Konexyon ponga a tu disposición
• Cerrar sesión en tu Cuenta al usar dispositivos compartidos o públicos
• Notificar a Konexyon en el plazo de 24 horas desde que tengas conocimiento de cualquier acceso no autorizado, actividad sospechosa o brecha de seguridad que afecte a tu Cuenta, enviando un email a [email protected]

El incumplimiento de la notificación a Konexyon en el plazo de 24 horas desde que hayas descubierto un acceso no autorizado se considerará una ratificación de toda la actividad realizada bajo tu Cuenta durante el período de no notificación. Konexyon no tendrá responsabilidad alguna por ninguna pérdida, daño o perjuicio derivado de tu incumplimiento del deber de mantener la seguridad de la Cuenta o de notificar a Konexyon de forma inmediata. Cualquier alegación de que la actividad de la Cuenta fue no autorizada deberá sustentarse con pruebas que tú aportes; los registros de actividad de la Cuenta de Konexyon constituyen prueba prima facie de la actividad producida.

3.3 Una cuenta por persona

Solo puedes crear una cuenta personal. Crear múltiples cuentas para eludir una suspensión, inflar artificialmente tu reputación o crédito social, o manipular la participación en planes está prohibido y puede resultar en la terminación permanente de todas las cuentas asociadas.

3.4 Nombre de usuario

Tu nombre de usuario no debe suplantar a otra persona o entidad, contener discurso de odio ni infringir estos Términos. Konexyon se reserva el derecho de reclamar nombres de usuario que infrinjan esta política o que hayan estado inactivos durante un período prolongado.

4. El Servicio

4.1 Descripción

Konexyon es una plataforma social que permite a los usuarios crear, descubrir y unirse a planes y actividades del mundo real. El Servicio incluye creación y gestión de planes, perfiles sociales, un sistema de crédito social, mensajería en la app, chat anónimo, posts de vibe, comunidades y funciones relacionadas.

4.2 Cambios en el Servicio

Konexyon se reserva el derecho de modificar, suspender o interrumpir cualquier función o aspecto del Servicio en cualquier momento, con o sin previo aviso. No somos responsables ante ti ni ante terceros por ninguna modificación, suspensión o interrupción del Servicio.

4.3 Funciones Beta

Algunas funciones pueden publicarse como "beta" o "experimental". Estas funciones se proporcionan tal cual, pueden contener errores y pueden modificarse o eliminarse sin previo aviso.

5. Licencia de contenido que nos otorgas

Al enviar, publicar o mostrar contenido en el Servicio o a través de él ("Contenido de Usuario"), otorgas a Konexyon una licencia no exclusiva, mundial, libre de regalías, sublicenciable y transferible para usar, copiar, almacenar, reproducir, modificar, adaptar, publicar, traducir, crear obras derivadas, distribuir, ejecutar y mostrar dicho Contenido de Usuario en relación con la operación, promoción y mejora del Servicio, incluido el desarrollo de nuevas funciones y tecnologías.

Esta licencia incluye el derecho a:

• Mostrar tu Contenido de Usuario a otros usuarios como parte del funcionamiento normal del Servicio
• Reformatear, redimensionar o adaptar de otro modo tu Contenido de Usuario para mostrarlo en diferentes dispositivos e interfaces
• Usar Contenido de Usuario anonimizado o agregado para investigación de productos y análisis
• Continuar alojando y mostrando el Contenido de Usuario después de que hayas eliminado tu cuenta, cuando otros usuarios hayan interactuado con ese contenido y la eliminación degradaría su experiencia — sujeto a nuestras obligaciones de retención de datos

Esta licencia termina cuando eliminas tu Contenido de Usuario o tu cuenta, sujeto a los períodos de retención descritos en nuestra Política de Privacidad. Conservas todos los derechos de propiedad sobre tu Contenido de Usuario.

5.5 Datos derivados de tu actividad

Además de la licencia de contenido anterior, al usar el Servicio reconoces y aceptas que Konexyon puede, sujeto a la Política de Privacidad y la ley aplicable: (a) recopilar y analizar datos generados por tu uso del Servicio, incluyendo interacciones, patrones de navegación, uso de funciones y señales de comportamiento; (b) derivar inferencias estadísticas, perfiles de interés y otros insights de estos datos a nivel individual o agregado; y (c) usar estos datos para mejorar los sistemas de recomendación, moderación, emparejamiento y detección de fraude del propio Servicio.

Konexyon no vende, licencia, alquila ni cede tus datos personales a terceros con fines comerciales, ni elabora segmentos de interés o de comportamiento para anunciantes, intermediarios de datos ni ninguna otra entidad. No existe ningún programa comercial de datos, presente ni proyectado, del que puedas o debas excluirte.

Si esto cambiara en el futuro, no se haría mediante una modificación silenciosa de estas Condiciones: se te informaría con antelación y, cuando la ley lo exija, se te pediría tu consentimiento expreso, específico e informado. El uso continuado del Servicio nunca equivaldrá por sí solo a ese consentimiento.

5.6 Renuncia a derechos morales

Aceptas no ejercer los derechos morales (incluidos los derechos de atribución e integridad) con respecto al Contenido de Usuario que envíes a través del Servicio de manera que impida o restrinja irrazonablemente a Konexyon el ejercicio de la licencia de contenido otorgada en la Sección 5.1. En la medida expresamente permitida por la ley aplicable, también renuncias a dichos derechos morales a favor de Konexyon y de cualquier parte a quien Konexyon sublicencie el Contenido de Usuario; donde dicha renuncia no esté permitida por la ley obligatoria aplicable, se aplicará el compromiso de no ejercicio previsto en este párrafo, sin que se entienda renunciado ningún derecho en mayor medida.

5.7 Garantías ampliadas sobre el Contenido de Usuario

Además de la declaración general anterior, al enviar cualquier Contenido de Usuario declaras y garantizas específicamente que:

• Has obtenido el consentimiento libre, específico e informado de toda persona física identificable que aparezca en cualquier fotografía, vídeo o grabación de audio que subas, para ser mostrada y tratada como parte del Servicio, y que dicho consentimiento es válido conforme a la ley aplicable, incluido el RGPD Art. 7 y la normativa nacional aplicable
• Tienes plena capacidad y autorización para otorgar la licencia de la Sección 5.1 sin necesidad del consentimiento o aprobación de ninguna otra persona o entidad que no hayas obtenido previamente
• Tu Contenido de Usuario no revela datos personales, comunicaciones privadas, domicilio, información financiera u otra información sensible de terceros sin su consentimiento explícito
• Tu Contenido de Usuario es veraz en todos los aspectos relevantes, no suplanta la identidad de ninguna otra persona, organización o marca, y no constituye difamación, calumnia, injuria ni falsedad maliciosa conforme a la ley aplicable
• Tu Contenido de Usuario no constituye, contiene, enlaza ni promueve: imágenes íntimas no consensuadas (IINC/pornografía de venganza), material de abuso sexual infantil (CSAM), contenido que vulnera el derecho a la intimidad de terceros, material con derechos de autor explotado comercialmente sin licencia, ni ningún contenido ilegal conforme a la ley aplicable

Cualquier incumplimiento de estas garantías constituye un incumplimiento material de los presentes Términos que da lugar a tu obligación de indemnizar a Konexyon conforme a la Sección 18. Reconoces que Konexyon no puede verificar de forma práctica el cumplimiento de estas garantías antes de que el contenido sea publicado, y que eres el único responsable civil y penal de cualquier incumplimiento.

6. Nuestra licencia para ti

Sujeto a tu cumplimiento de estos Términos, Konexyon te otorga una licencia limitada, no exclusiva, intransferible y revocable para acceder y usar el Servicio para fines personales y no comerciales.

No puedes: sublicenciar, vender, revender, transferir, ceder ni explotar comercialmente el Servicio; realizar ingeniería inversa, descompilar ni desensamblar ninguna parte del Servicio; usar herramientas automatizadas para rastrear, indexar o extraer datos del Servicio; eliminar avisos de derechos de autor, marcas comerciales u otros avisos de propiedad.

7. Política de uso aceptable

Aceptas usar Konexyon solo para fines lícitos y de manera que no infrinja los derechos de otros. En concreto, aceptas no:

• Acosar, intimidar, amenazar o acechar a otros usuarios
• Suplantar la identidad de cualquier persona o entidad
• Publicar o transmitir spam, cadenas de mensajes o mensajes masivos no solicitados
• Usar el Servicio para solicitar información personal de menores
• Usar el Servicio para participar en fraudes, engaños o estafas financieras
• Interferir con o interrumpir la integridad o el rendimiento del Servicio
• Intentar obtener acceso no autorizado al Servicio o sus sistemas relacionados
• Usar el Servicio para transmitir malware, virus o código destructivo
• Eludir medidas técnicas de seguridad del Servicio
• Recopilar datos de usuarios sin autorización
• Usar el Servicio para publicidad comercial o esquemas piramidales sin consentimiento previo
• Crear planes falsos, check-ins falsos o manipular artificialmente las puntuaciones de crédito social
• Usar bots automatizados para degradar la experiencia de otros usuarios

8. Contenido prohibido

8.1 Contenido ilegal o dañino

• Material de abuso sexual infantil (CSAM) o explotación sexual de menores — tolerancia cero; terminación inmediata y comunicación a las fuerzas del orden
• Contenido que promueva, incite o facilite la violencia, el terrorismo o la autolesión
• Contenido que viole cualquier ley o reglamento aplicable
• Contenido que facilite la venta de drogas ilegales, armas u otras mercancías de contrabando

8.2 Contenido de odio y discriminatorio

• Contenido que promueva el odio o la violencia por razón de raza, etnia, religión, género, orientación sexual, discapacidad u otras características protegidas
• Uso de insultos, lenguaje deshumanizador o estereotipos dañinos

8.3 Desinformación y manipulación

• Información falsa o engañosa que cause daño real (desinformación sanitaria, interferencia electoral)
• Comportamiento inauténtico coordinado: redes de cuentas falsas, compra de seguidores, amplificación artificial

8.4 Violaciones de privacidad

• Información privada de terceros sin consentimiento ("doxxing")
• Imágenes íntimas de otra persona sin su consentimiento

8.5 Propiedad intelectual

• Contenido que infrinja patentes, marcas, secretos comerciales, copyright u otros derechos de propiedad intelectual de terceros

8.6 Mensajes seguros — autolesión y suicidio

• Contenido que promueva, glorifique o proporcione instrucciones detalladas sobre métodos de suicidio o autolesión
• Contenido que presente métodos de autolesión de manera que pueda fomentar la imitación
• Retos o tendencias virales que impliquen daño físico a los participantes

Cuando detectemos contenido o búsquedas relacionadas con autolesión o crisis de salud mental, Konexyon puede mostrar recursos de ayuda, entre ellos el Teléfono de la Esperanza: 717 003 717 (España) y el directorio de la Asociación Internacional para la Prevención del Suicidio (IASP).

8.7 Integridad electoral y política

• Información intencionadamente falsa sobre candidatos, resultados electorales, procedimientos de voto o ubicaciones de colegios electorales diseñada para engañar a los votantes
• Contenido diseñado para suprimir o desincentivar la participación legítima en elecciones de grupos específicos
• Publicidad política de pago que no esté clara y prominentemente identificada como tal
• Coordinación con entidades extranjeras para interferir en elecciones nacionales

La opinión política, la defensa cívica y el debate sobre políticas públicas son formas de expresión permitidas en Konexyon. Este apartado persigue el engaño y la supresión del voto, no la expresión de ideas.

9. Planes, crédito social y recompensas virtuales

9.1 Creación de planes

Cuando creas un plan, declaras que es genuino, que tienes intención de organizarlo y que la ubicación, fecha y descripción son precisas. Crear planes falsos o engañosos está prohibido y puede resultar en la suspensión de la cuenta.

9.2 Sistema de crédito social

Las puntuaciones de crédito social son calculadas por algoritmos automatizados del lado del servidor, son intransferibles y no tienen valor monetario fuera del Servicio. Pueden reducirse o restablecerse como consecuencia de infracciones de estos Términos.

9.3 Recompensas virtuales y créditos de referido

Los créditos virtuales, insignias, niveles o recompensas ("Elementos Virtuales"): no tienen valor monetario real; se te licencian, no se te venden; pueden perderse si tu cuenta es suspendida o terminada; pueden modificarse o eliminarse a discreción de Konexyon; no son transferibles entre cuentas.

9.4 Check-ins y valoraciones

Los check-ins fraudulentos (falsificar proximidad) o las valoraciones fraudulentas (campañas coordinadas) están prohibidos y pueden resultar en pérdida de crédito social y suspensión de cuenta.

9.5 Indemnización específica del Organizador

Al crear un Plan en Konexyon asumes el rol de Organizador y, como condición para hacerlo, aceptas específica e irrevocablemente defender, indemnizar y mantener indemnes a Konexyon y a las Partes de Konexyon frente a cualquier reclamación, demanda, procedimiento, daño, obligación, pérdida, responsabilidad, multa regulatoria, coste y gasto — incluidos honorarios legales razonables — que surja de o esté relacionado con:

• El Plan que creaste, su contenido, exactitud, descripción o cualquier representación que hayas hecho sobre él
• La ejecución, gestión o conducción del Plan, incluyendo cualquier incidente que ocurra en, durante o en relación con el Plan
• Cualquier lesión, fallecimiento, daño material, pérdida u otro perjuicio sufrido por cualquier asistente, tercero o transeúnte en relación con tu Plan
• Tu incumplimiento en la obtención o mantenimiento de los permisos, licencias, autorizaciones o seguros requeridos para el Plan o su lugar de celebración
• Cualquier infracción de la ley aplicable en relación con el Plan, incluyendo normativa de salud y seguridad, licencias de alcohol, ordenanzas de ruido y regulaciones de orden público
• Cualquier reclamación de un asistente por considerar que el Plan fue descrito de forma inexacta, era inseguro, no era accesible o no se correspondía con lo anunciado
• Cualquier investigación o sanción regulatoria derivada de tu Plan o su contenido

Esta indemnización del Organizador se suma a la indemnización general del usuario de la Sección 18 y no la limita ni sustituye. Sobrevive a la cancelación del Plan, la eliminación de tu Cuenta y la resolución de estos Términos. Konexyon no es coorganizador, organizador conjunto ni corresponsable en relación con ningún Plan bajo ninguna circunstancia, con independencia de cualquier funcionalidad, herramienta o apoyo promocional que Konexyon haya podido proporcionar en relación con el Plan.

10. Suscripciones de pago

10.1 Planes de suscripción

Konexyon puede ofrecer niveles de suscripción de pago ("Premium"). Al suscribirte, aceptas pagar las tarifas aplicables a la frecuencia indicada en el proceso de compra (mensual o anual).

10.2 Facturación y renovación automática

Las suscripciones se renuevan automáticamente al final de cada período de facturación al precio vigente en ese momento, salvo que las canceles. Te enviaremos un recordatorio de renovación por email con al menos 7 días de antelación. Autorizas a Konexyon a cargar tu método de pago en cada renovación. La cancelación debe realizarse al menos 24 horas antes de la fecha de renovación para que surta efecto en ese período. Todos los precios incluyen los impuestos aplicables cuando así lo exige la ley.

10.3 Cancelaciones y reembolsos

Puedes cancelar en cualquier momento. La cancelación surte efecto al final del período de facturación actual. Salvo que lo exija la ley, no proporcionamos reembolsos por períodos parciales. Para compras via App Store o Google Play, los reembolsos deben solicitarse a Apple o Google respectivamente.

10.4 Cambios de precio

Avisaremos con al menos 30 días de antelación antes de aumentar precios. El uso continuado constituye aceptación del nuevo precio.

10.5 Derecho de desistimiento (consumidores del EEE)

Si eres consumidor residente en el Espacio Económico Europeo, tienes derecho a desistir del contrato de suscripción en un plazo de 14 días naturales desde la fecha de compra, sin necesidad de indicar el motivo, conforme a la Directiva 2011/83/UE sobre los derechos de los consumidores, transpuesta en España por el Real Decreto-Legislativo 1/2007 (TRLGDCU).

Cómo ejercer este derecho: Envía una declaración inequívoca a [email protected] antes de que expire el plazo de 14 días. Puedes usar el modelo de formulario siguiente (no es obligatorio):

Efecto del desistimiento: Reembolsaremos todos los pagos recibidos sin demora indebida y en un plazo máximo de 14 días desde la recepción de tu notificación, utilizando el mismo medio de pago salvo acuerdo en contrario.

Pérdida del derecho: Si solicitas expresamente que el servicio comience durante el período de desistimiento y el servicio se ejecuta íntegramente antes de que expiren los 14 días, perderás el derecho de desistimiento. Al iniciar tu suscripción consientes expresamente el comienzo inmediato del servicio y reconoces esta consecuencia.

10.6 Información precontractual (Dir. 2011/83/UE Arts. 6 y 8)

Antes de completar una compra de suscripción, Konexyon mostrará en el proceso de pago la siguiente información precontractual obligatoria:

• Precio total con todos los impuestos y cargos incluidos
• Periodicidad de facturación (mensual o anual) y condiciones de renovación automática
• Duración mínima del contrato (un período de facturación) y condiciones de resolución
• Resumen del derecho de desistimiento y cómo ejercerlo
• Características del contenido digital y compatibilidad técnica

El botón de suscripción estará etiquetado como "Suscribirse — obligación de pago" (o expresión equivalente clara) conforme al Art. 8(2) de la Directiva 2011/83/UE. Al hacer clic, confirmas que has recibido y comprendido la información precontractual.

11. Privacidad

Tu uso del Servicio se rige por nuestra Política de Privacidad, que describe cómo recopilamos, usamos y compartimos tus datos personales.

12. Servicios de terceros

El Servicio puede enlazar o integrarse con servicios de terceros (tiendas de aplicaciones, proveedores de mapas, procesadores de pago). Tu uso de dichos servicios se rige por sus propios términos y políticas. Konexyon no es responsable del contenido ni las prácticas de ningún servicio de terceros.

13. Copyright y DMCA

13.1 Respeto por la propiedad intelectual

Konexyon respeta los derechos de propiedad intelectual y responderá a notificaciones claras de supuesta infracción de derechos de autor de conformidad con la ley aplicable.

13.2 Cómo enviar una notificación de infracción

Si crees que un contenido en Konexyon infringe tus derechos de autor, envía una notificación a [email protected] que incluya: (1) firma del titular o agente autorizado; (2) identificación de la obra infringida; (3) identificación del material infractor con suficiente detalle para localizarlo; (4) tus datos de contacto; (5) declaración de buena fe; (6) declaración de exactitud bajo pena de perjurio.

13.3 Contranotificación

Si tu contenido fue eliminado como consecuencia de una notificación de derechos de autor y consideras que la eliminación fue un error o que tienes autorización para usar el material, puedes enviar una contranotificación a [email protected] que incluya:

1. Tu firma física o electrónica
2. Identificación del contenido eliminado y su ubicación en el Servicio antes de la eliminación (URL o descripción)
3. Una declaración bajo pena de perjurio de que crees de buena fe que el contenido fue eliminado por error o identificación incorrecta
4. Tu nombre, dirección y teléfono
5. Una declaración de que aceptas la jurisdicción de los tribunales de tu lugar de residencia y que aceptarás la notificación judicial de la parte que presentó la notificación original

Tras recibir una contranotificación válida, la transmitiremos a la parte reclamante original y restauraremos el contenido en un plazo de 10–14 días hábiles, salvo que la parte reclamante nos notifique que ha iniciado acciones legales para impedir la restauración.

13.4 Infractores reincidentes

Konexyon terminará las cuentas de usuarios que sean infractores reincidentes de derechos de autor.

14. Moderación y aplicación

14.1 Moderación de contenido

Konexyon modera el contenido mediante herramientas automatizadas y revisión humana. Nos reservamos el derecho de revisar, eliminar o restringir cualquier Contenido de Usuario que infrinja estos Términos o nuestras Directrices de la Comunidad, sin estar obligados a ello.

14.2 Denuncias

Los usuarios pueden denunciar contenido o cuentas usando la función de denuncia de la app. Revisamos todas las denuncias y tomamos medidas cuando se confirman infracciones.

14.3 Decisiones de moderación

Las decisiones de moderación se toman a discreción exclusiva de Konexyon. No somos responsables del contenido que aún no ha sido revisado ni del que decidamos no eliminar pese a haber sido denunciado.

14.4 Transparencia del sistema de recomendación (DSA Art. 27)

Konexyon utiliza sistemas automatizados de recomendación para determinar el contenido, los planes y los perfiles que ves. De conformidad con el Art. 27 del Reglamento de Servicios Digitales (DSA), divulgamos los principales parámetros de nuestros sistemas de recomendación:

• Proximidad: Los planes y usuarios geográficamente cercanos a tu ubicación actual o habitual reciben mayor puntuación
• Coincidencia de intereses: El contenido alineado con los intereses y categorías que seleccionaste durante el registro y en tu perfil
• Grafo social: Planes a los que asistieron o crearon usuarios con los que has hecho match o interactuado
• Crédito social: Los organizadores con mayor puntuación de fiabilidad (tasa de asistencia, valoraciones recibidas) tienen mayor visibilidad en el descubrimiento de planes
• Recencia de actividad: Los usuarios recientemente activos y los planes creados o actualizados recientemente reciben un impulso de frescura
• Señales de interacción: Los planes con mayor tasa de unión, check-in y valoraciones post-evento reciben un impulso de relevancia
• Historial de swipe: En el feed de descubrimiento de matches, los perfiles que has omitido previamente se desclasifican

Puedes influir en tus recomendaciones actualizando tus intereses en el perfil, ajustando tus preferencias de ubicación y gestionando tu configuración de privacidad.

15. Suspensión y terminación de cuenta

15.1 Terminación por parte de Konexyon

Konexyon puede suspender o terminar permanentemente tu cuenta cuando determine razonablemente que concurre alguna de las siguientes circunstancias. Konexyon proporcionará aviso previo cuando sea factible y cuando hacerlo no facilite la continuación del daño, la evasión de medidas o infrinja la ley aplicable:

• Incumplimiento de estos Términos o de las Directrices de la Comunidad
• Conducta que perjudique a otros usuarios, terceros o a Konexyon
• Conducta que genere responsabilidad legal o riesgo regulatorio para Konexyon
• Uso fraudulento, engañoso o abusivo del Servicio

Las medidas de suspensión o terminación serán proporcionales a la naturaleza y gravedad de la conducta, de conformidad con las obligaciones de Konexyon conforme a la regulación aplicable de plataformas, incluido el Reglamento de Servicios Digitales (DSA).

15.2 Apelaciones

Si crees que tu cuenta fue suspendida por error, puedes apelar enviando un email a [email protected] en un plazo de 30 días desde la acción. Revisaremos tu apelación y te responderemos en un plazo máximo de 14 días hábiles. Si no estás conforme con nuestra respuesta, puedes acudir a los tribunales o, cuando esté disponible, a un organismo de resolución extrajudicial certificado conforme al art. 21 del Reglamento (UE) 2022/2065. Konexyon es actualmente una microempresa en el sentido del art. 19 de dicho Reglamento y no está obligado a someterse a esos organismos, pero atenderá de buena fe cualquier procedimiento que se le plantee.

15.3 Terminación por tu parte

Puedes eliminar tu cuenta en cualquier momento desde Ajustes → Cuenta → Eliminar cuenta. La eliminación es permanente y no se puede deshacer tras el período de gracia de 30 días de nuestra Política de Privacidad.

15.4 Efectos de la terminación

Al terminar la cuenta: tu acceso cesa de inmediato; tu perfil y contenido se eliminan según nuestro calendario de retención; los Elementos Virtuales, crédito social y recompensas pendientes se pierden sin compensación. Las Secciones 5, 16, 17, 18, 19, 20 y 21 sobreviven a la terminación.

16. Exenciones de responsabilidad

16.0 Prevalencia de tus derechos como consumidor

Si eres consumidor con residencia en España o en la Unión Europea, ninguna cláusula de estas Condiciones puede privarte de los derechos que te reconoce la normativa imperativa de consumo, en particular el Real Decreto Legislativo 1/2007 (TRLGDCU). En concreto y sin perjuicio de cualquier otra disposición de estas Condiciones:

• Konexyon no excluye ni limita en modo alguno su responsabilidad por muerte o daños personales causados por su propia acción u omisión, ni por dolo, ni por incumplimiento doloso o gravemente negligente de sus obligaciones.
• Los plazos legales de prescripción y caducidad para reclamar se aplican íntegramente. Ninguna cláusula de estas Condiciones los acorta.
• No tienes obligación de indemnizar a Konexyon por sanciones administrativas impuestas a Konexyon.
• Puedes demandar a Konexyon ante los tribunales de tu lugar de residencia, y solo podrás ser demandado ante los tribunales de tu lugar de residencia, conforme a los arts. 17 a 19 del Reglamento (UE) 1215/2012.
• No estás obligado a someterte a arbitraje. Cualquier referencia al arbitraje en estas Condiciones se aplica exclusivamente a usuarios que no sean consumidores.
• Eliminar tu cuenta no supone renuncia alguna a reclamaciones que ya tuvieras.

Cualquier cláusula de estas Condiciones que contradiga lo anterior se tiene por no puesta en lo que a ti respecta.

16.1 Disponibilidad del Servicio

Konexyon no garantiza que: (a) el Servicio sea ininterrumpido, puntual, seguro o libre de errores; (b) los resultados del uso del Servicio sean precisos, completos o fiables; (c) los errores o defectos sean corregidos; (d) el Servicio esté libre de virus u otros componentes dañinos; (e) el Servicio esté disponible en alguna ubicación o momento concreto. El uso del Servicio es bajo tu propio riesgo.

16.2 Exención por conducta de usuarios

Konexyon es una plataforma que facilita conexiones entre usuarios. Konexyon no controla, y expresamente renuncia a toda responsabilidad por, las acciones, omisiones, conducta y contenido de cualquier usuario, tanto en el Servicio como fuera de él. Konexyon no investiga, verifica, examina ni realiza comprobaciones de antecedentes de ningún usuario, y no realiza declaraciones sobre el carácter, identidad, historial delictivo, intenciones, competencia ni fiabilidad de ningún usuario.

16.3 Asunción de riesgo en quedadas presenciales

Antes de quedar con alguien de Konexyon: queda en un lugar público y concurrido, cuéntale a alguien de confianza dónde vas y con quién, no compartas tu domicilio ni datos bancarios, y vete si algo te incomoda. Si en algún momento temes por tu seguridad, llama al 112.

El organizador de cada plan es el único responsable de que la actividad sea segura y legal y de obtener los permisos, autorizaciones y seguros que requiera.

Al usar Konexyon reconoces que has leído y comprendido estas advertencias y que asumes voluntariamente los riesgos propios de conocer gente en persona. Esto no excluye ni limita la responsabilidad que Konexyon pueda tener por sus propios actos u omisiones, en particular por no actuar tras conocer una denuncia (Sección 16.0).

16.4 Exención sobre el contenido de los planes

Konexyon no verifica, respalda ni garantiza: (a) la exactitud, legalidad o seguridad de ningún plan publicado; (b) que el organizador del plan disponga de los permisos necesarios para la actividad planificada; (c) que algún lugar mencionado sea seguro o esté disponible legalmente; (d) que cualquier plan se celebre según lo descrito. Asistes a cualquier plan organizado a través del Servicio enteramente bajo tu propio riesgo.

16.5 Puerto seguro del operador de plataforma (DSA Art. 6 / LSSI-CE)

Konexyon opera como proveedor de servicios de alojamiento intermediario. Desde el 17 de febrero de 2024, la responsabilidad de Konexyon por el contenido generado por los usuarios alojado en el Servicio se rige principalmente por el artículo 6 del Reglamento de Servicios Digitales (Reglamento (UE) 2022/2065 — "DSA"), que sustituyó a la Directiva 2000/31/CE (Directiva de Comercio Electrónico) para operaciones en la UE/EEE. Conforme al Art. 6 del DSA, Konexyon no es responsable del contenido ilegal generado por los usuarios salvo que: (a) Konexyon tenga conocimiento efectivo del contenido ilegal específico o de circunstancias que hagan evidente su ilicitud; y (b) una vez obtenido ese conocimiento, no actúe diligentemente para retirarlo o impedir el acceso al mismo. A efectos del derecho español interno, los Arts. 16–17 de la LSSI-CE continúan siendo de aplicación paralela. El mecanismo de denuncia descrito en la Sección 14 constituye el medio principal para proporcionar a Konexyon el conocimiento requerido que activa la obligación de actuar diligentemente. Cualquier reclamación que sostenga que Konexyon es responsable de contenido generado por un usuario debe acreditar que Konexyon tenía conocimiento efectivo del contenido ilícito específico y no actuó — el mero conocimiento general de la posibilidad de contenido ilegal es insuficiente para destruir este puerto seguro.

16.8 Exención de responsabilidad sanitaria y de actividad física

Konexyon no proporciona asesoramiento médico, sanitario, nutricional, deportivo ni de seguridad. Los planes organizados a través del Servicio pueden implicar actividades físicas incluyendo, sin limitación: senderismo, carrera, escalada, ciclismo, natación, deportes de equipo, entrenamiento en gimnasio, deportes de combate y otras actividades extenuantes o potencialmente peligrosas. Konexyon no verifica ni evalúa la condición física, el estado de salud ni la idoneidad médica de ningún participante para ninguna actividad. Eres el único responsable de evaluar tu propia condición física y de consultar con un profesional médico cualificado antes de participar en cualquier actividad que pueda afectar a tu salud. Konexyon renuncia expresamente a toda responsabilidad por cualquier lesión, enfermedad, agravamiento de una condición preexistente o consecuencia negativa para la salud derivada de cualquier actividad organizada a través del Servicio.

16.9 Alcohol, sustancias y responsabilidad personal

Konexyon no endorsa, facilita ni fomenta el consumo de alcohol, sustancias controladas, medicamentos con receta ni ningún otro intoxicante. Cuando los planes organizados a través del Servicio tengan lugar en locales con licencia, bares, restaurantes u otras reuniones sociales donde el alcohol u otras sustancias puedan estar disponibles, cada usuario es exclusiva y totalmente responsable de sus propias decisiones de consumo. Konexyon no asume ninguna responsabilidad por ningún evento, lesión, daño, accidente o consecuencia legal derivada del consumo de alcohol u otras sustancias por parte de un usuario antes, durante o después de cualquier actividad organizada a través del Servicio, incluidas las consecuencias para terceros.

16.10 Responsabilidad del organizador: permisos, licencias y seguros

El usuario que crea un plan ("Organizador") es el único y exclusivo responsable de: (a) obtener todos los permisos, licencias, autorizaciones y aprobaciones oficiales requeridas para la actividad planificada y el lugar bajo la ley local, regional y nacional aplicable; (b) cumplir con todas las normativas aplicables a la actividad, incluidos los requisitos de salud y seguridad; (c) contratar cualquier seguro de responsabilidad civil de eventos, seguro de responsabilidad pública u otra cobertura de seguros razonablemente adecuada para la naturaleza, escala y riesgos previsibles de la actividad; (d) informar claramente a los participantes de los riesgos inherentes asociados a la actividad; y (e) garantizar que la actividad se realice de forma segura y legal. Konexyon no es co-organizador, organizador conjunto ni parte responsable de ningún plan, y no asume responsabilidad alguna por el incumplimiento por parte de un Organizador de la obtención de los permisos, autorizaciones o seguros necesarios.

16.11 Sistemas automatizados e inteligencia artificial

Konexyon utiliza sistemas automatizados de toma de decisiones y tecnologías de inteligencia artificial en múltiples áreas del Servicio, incluyendo: algoritmos de recomendación y descubrimiento de contenido; sistemas de puntuación de crédito social y reputación; sistemas de detección de fraude y seguridad de cuentas; asistencia en moderación de contenido; evaluación de compatibilidad y emparejamiento de usuarios; y soporte al cliente automatizado. Estos sistemas están diseñados para mejorar la experiencia del usuario y la seguridad de la plataforma, pero Konexyon no garantiza la exactitud, imparcialidad, integridad ni ausencia de sesgos en ningún resultado producido por sistemas automatizados. Las decisiones con efecto significativo sobre los usuarios — incluyendo suspensión de cuenta, deducciones de crédito social y eliminación de contenido — están sujetas a revisión humana previa solicitud según lo descrito en estos Términos. Cuando lo exija la ley aplicable, incluido el artículo 22 del RGPD, tienes derecho a solicitar la revisión humana de cualquier decisión automatizada que te afecte significativamente.

16.12 Fuerza mayor e interrupción prolongada del servicio

Konexyon no será responsable de ningún incumplimiento o retraso en el cumplimiento de sus obligaciones derivado de circunstancias fuera de su control razonable, incluyendo sin limitación: actos de Dios, desastres naturales, inundaciones, terremotos, tormentas, eventos meteorológicos extremos, pandemias, epidemias, emergencias de salud pública, actos de guerra, terrorismo, disturbios civiles, sanciones, órdenes gubernamentales o cambios regulatorios, incendios, explosiones, cortes de suministro eléctrico, fallos de telecomunicaciones, cortes de proveedores de servicios de internet, ciberataques (incluidos ataques de denegación de servicio distribuido, ransomware, ataques a la cadena de suministro e intrusiones patrocinadas por estados), fallos o interrupciones de proveedores terceros de infraestructura en la nube (incluyendo sin limitación AWS, Google Cloud Platform y Supabase), fallos de APIs y servicios de terceros de los que depende el Servicio, fallos o degradación de modelos de IA, fallos de hardware, y cualquier otro evento o causa fuera del control razonable de Konexyon. En cualquier evento de fuerza mayor, las obligaciones de Konexyon quedan suspendidas durante la duración del evento, y Konexyon empleará esfuerzos comercialmente razonables para restablecer el Servicio lo antes posible.

16.13 Ausencia de relación fiduciaria; ausencia de asesoramiento profesional

La relación entre tú y Konexyon es la de partes contratantes independientes. Nada en los presentes Términos, en el Servicio ni en su uso crea una relación fiduciaria, de asesoramiento, de agencia, de sociedad, de empresa conjunta, de empleo ni ningún deber especial de cuidado entre tú y Konexyon. Konexyon no actúa en calidad de asesor, agente, intermediario, emparejador, servicio de verificación de antecedentes, autoridad de seguridad ni representante tuyo en ninguna capacidad profesional, legal o personal. En particular:

• Las puntuaciones de crédito social son resultados estadísticos algorítmicos — no son referencias de carácter, avales, certificaciones ni evaluaciones profesionales de la fiabilidad o idoneidad de ningún usuario
• Los matches, recomendaciones y sugerencias de planes son resultados algorítmicos de conveniencia — no constituyen asesoramiento profesional, presentaciones personales, referencias verificadas ni evaluaciones de seguridad
• Las decisiones de moderación de contenido son medidas de seguridad internas de la plataforma — no son resoluciones judiciales, declaraciones de hechos ni determinaciones legales
• Ninguna información, notificación, mensaje push ni resultado producido por Konexyon o el Servicio constituye asesoramiento legal, médico, psiquiátrico, financiero, de seguridad ni de ninguna otra naturaleza profesional o regulada

Eres el único responsable de evaluar de forma independiente la idoneidad, seguridad y carácter de cualquier persona, plan, lugar o actividad antes de actuar basándote en cualquier recomendación, match o señal producida por el Servicio. El hecho de que Konexyon proporcione resultados algorítmicos no transfiere a Konexyon ninguna parte del deber de diligencia, juicio o debida diligencia que recae exclusivamente en ti.

16.14 Capturas de pantalla y distribución fuera de la plataforma

Konexyon no controla lo que los usuarios hacen con el contenido al que acceden a través del Servicio fuera de la plataforma. Al usar el Servicio, reconoces y aceptas expresamente que:

• Cualquier captura de pantalla, grabación de pantalla, descarga, captura de imagen o cualquier otra reproducción de contenido del Servicio — incluidos perfiles, fotografías, mensajes privados, planes, datos de ubicación u otra información personal de otros usuarios — se realiza bajo tu exclusiva responsabilidad y riesgo
• La captura y distribución de ese contenido fuera de la plataforma puede constituir una vulneración del RGPD Arts. 5–6, la Ley Orgánica de Protección de Datos, el derecho a la intimidad y a la propia imagen (Ley Orgánica 1/1982) y la legislación de propiedad intelectual aplicable, de la que eres el único responsable civil y penal
• Konexyon no asume responsabilidad alguna por cualquier daño derivado de contenido capturado del Servicio y distribuido, publicado o utilizado por ti o por terceros fuera del Servicio, con independencia de cómo se haya producido dicha captura
• Capturar datos personales de otro usuario del Servicio sin su consentimiento para fines distintos al uso personal privado constituye un incumplimiento de los presentes Términos y causa de suspensión inmediata de la cuenta

16.15 Conducta delictiva o ilícita — responsabilidad exclusiva del usuario

Si utilizas el Servicio para cometer, facilitar, planificar, coordinar o asistir en cualquier delito, acto ilícito civil o infracción de la ley aplicable — incluyendo sin limitación: fraude, agresión, acoso, acecho (stalking), coacciones, extorsión, delitos sexuales, robo, difusión no consentida de imágenes íntimas, usurpación de identidad, difamación, recogida de datos ilícita, o cualquier delito tipificado en el Código Penal español o legislación equivalente de tu jurisdicción — eres única y exclusivamente responsable de toda responsabilidad civil, penal y administrativa resultante.

El hecho de que Konexyon proporcione una plataforma de comunicación y socialización que haya posibilitado incidentalmente el contacto entre las partes no constituye, por sí mismo, participación, facilitación, contribución ni coautoría en ningún acto delictivo o ilícito, sin perjuicio de las obligaciones de Konexyon como proveedor de alojamiento conforme al Art. 6 del DSA y los Arts. 16–17 de la LSSI-CE para actuar diligentemente ante el conocimiento efectivo de contenido ilegal. El incumplimiento de Konexyon al impedir una conducta delictiva desconocida de los usuarios no genera ninguna acción civil contra Konexyon en relación con dicha conducta.

17. Limitación de responsabilidad

17.1 Tope de responsabilidad agregada

En ningún caso la responsabilidad total acumulada de las Partes Konexyon frente a ti por todas las reclamaciones derivadas o relacionadas con estos Términos o el Servicio superará la mayor de las siguientes cantidades: (a) 100 € (cien euros), o (b) las tarifas totales efectivamente pagadas por ti a Konexyon en los 12 meses naturales inmediatamente anteriores al evento que origina la reclamación. Este tope se aplica al conjunto de todas las reclamaciones, no por reclamación individual. Este tope no se aplica a la responsabilidad que no pueda limitarse ni excluirse bajo la ley obligatoria aplicable (incluidos los derechos estatutarios del consumidor, la responsabilidad por muerte o lesiones personales causadas por negligencia, o la responsabilidad por fraude).

17.2 Exclusiones específicas

Sin limitar lo anterior, Konexyon excluye expresamente toda responsabilidad por: (a) daños derivados de encuentros presenciales o planes organizados a través del Servicio; (b) conductas, actos u omisiones de cualquier usuario; (c) accesos no autorizados resultantes de ataques de terceros; (d) interrupciones del Servicio; (e) pérdida de Elementos Virtuales o crédito social conforme a estos Términos. Todo ello sin perjuicio de lo dispuesto en la Sección 16.0.

17.3 Plazo de prescripción

Cualquier reclamación o acción derivada de estos Términos o el Servicio deberá presentarse en el plazo de un (1) año desde la fecha en que surgió la causa de la acción. Transcurrido dicho plazo, quedará extinguida definitivamente. Este plazo no se aplica en la medida en que sea contrario a la ley obligatoria aplicable, incluyendo los plazos mínimos de prescripción no renunciables previstos por la legislación española de protección al consumidor.

17.4 Derechos de los consumidores (UE / España)

Nada en esta Sección 17 limita la responsabilidad de Konexyon por: (a) fallecimiento o lesiones personales causadas por negligencia grave o conducta dolosa probada de Konexyon; (b) fraude o declaraciones fraudulentas; (c) cualquier responsabilidad que no pueda excluirse por ley obligatoria aplicable, incluyendo los derechos irrenunciables del consumidor español bajo el Real Decreto Legislativo 1/2007 y las directivas europeas aplicables.

17.5 Deber de mitigar

Tienes la obligación de adoptar todas las medidas razonables para mitigar cualquier pérdida, daño o perjuicio que sufras en relación con tu uso del Servicio. En la medida en que cualquier pérdida, daño o perjuicio que reclames sea atribuible total o parcialmente a tu falta de adopción de medidas razonables de mitigación, la responsabilidad de Konexyon (si es que existe) se reducirá proporcionalmente. Konexyon no será responsable de las pérdidas que no habrían ocurrido, o habrían sido materialmente menores, si hubierais actuado razonablemente para limitar tu exposición. Entre las medidas de mitigación exigibles se incluyen, sin limitación: dejar de usar el Servicio al descubrir el perjuicio; bloquear a los usuarios que te acosen o amenacen usando las herramientas integradas en el Servicio; denunciar de forma inmediata el contenido dañino o ilegal mediante el mecanismo de denuncia en la aplicación; contactar con los servicios de emergencia cuando la seguridad personal esté en riesgo inmediato.

17.6 Requisito de notificación de defectos

Como condición previa al ejercicio de cualquier acción de daños contra Konexyon, deberás notificar por escrito a [email protected] cualquier defecto, incumplimiento, perjuicio o pérdida derivados del uso del Servicio en el plazo de 30 días desde la fecha en que tomaste conocimiento, o razonablemente debiste haber tomado conocimiento, de los hechos relevantes. El incumplimiento de la notificación a tiempo comportará, en la máxima medida permitida por la ley obligatoria aplicable: (a) la exclusión de cualquier reclamación de daños que pudieran haberse reducido o evitado si Konexyon hubiera sido notificada oportunamente; y (b) constituirá un factor material en contra del reclamante en cualquier proceso de resolución de conflictos o arbitraje. Este requisito no sustituye ni reduce ningún plazo de prescripción no renunciable previsto por la ley obligatoria de protección al consumidor; opera como una condición procedimental adicional previa al ejercicio de reclamaciones en las que Konexyon hubiera tenido oportunidad real de subsanar el problema subyacente.

18. Indemnización

Aceptas defender, indemnizar y mantener indemnes a Konexyon y sus directivos, directores, empleados y agentes frente a cualquier reclamación, daño, coste o gasto (incluidos honorarios legales razonables) que surja de: tu uso del Servicio; tu infracción de estos Términos; tu infracción de derechos de terceros; cualquier Contenido de Usuario que publiques; tu negligencia grave o mala conducta intencionada. Konexyon se reserva el derecho, a su exclusiva discreción y a tu cargo, de asumir la defensa y control exclusivos de cualquier asunto sujeto a indemnización por tu parte. En ese caso, aceptas: (a) cooperar plenamente con la defensa de Konexyon; (b) no llegar a ningún acuerdo sin el consentimiento previo por escrito de Konexyon; (c) proporcionar toda la asistencia e información que Konexyon solicite razonablemente. Tus obligaciones de indemnización sobreviven a la resolución de estos Términos.

18.2 Multas y sanciones regulatorias

Sin perjuicio del apartado anterior, si cualquier autoridad regulatoria, autoridad de control de protección de datos (incluida la Agencia Española de Protección de Datos — AEPD), organismo de protección al consumidor, autoridad de competencia, regulador de contenidos u otro organismo gubernamental o administrativo: inicia cualquier investigación, auditoría, procedimiento o acción de ejecución contra Konexyon; o impone cualquier multa, sanción, orden de cumplimiento o coste regulatorio sobre Konexyon; derivado directa o indirectamente de: (a) tu Contenido de Usuario, incluyendo contenido declarado ilegal, infractor, difamatorio o contrario a la normativa de protección de datos; (b) tu conducta en o a través del Servicio; (c) tu falsa declaración sobre tu elegibilidad, edad, identidad o cualquier otra cuestión; (d) la ejecución de un Plan tuyo que vulneró la ley aplicable; o (e) el incumplimiento de cualquier garantía de la Sección 5.7 — aceptas reembolsar a Konexyon todas dichas multas, sanciones, costes de cumplimiento, gastos de remediación y honorarios legales razonables en la máxima medida permitida por la ley aplicable. Esta obligación se aplica independientemente de que Konexyon fuera parte nombrada en el procedimiento regulatorio o de que la acción regulatoria fuera desencadenada por una denuncia de un tercero sobre tu conducta.

18.3 Disputas entre usuarios — Konexyon no es parte

Konexyon facilita conexiones entre usuarios pero no es parte de ninguna disputa entre usuarios. Si tienes una disputa con otro usuario derivada del uso del Servicio — incluyendo disputas relativas a Planes presenciales, Contenido de Usuario, valoraciones, mensajes, matches o cualquier otra interacción o conducta — tu único recurso legal es contra el/los usuario/s implicado/s, no contra Konexyon. Aceptas expresamente:

• No demandar, incorporar ni implicar a Konexyon como demandado, tercero o parte responsable en ningún procedimiento legal derivado de una disputa entre usuarios, salvo que la conducta afirmativa independiente y directa de Konexyon (distinta y más allá de la mera provisión de la plataforma) esté específicamente en cuestión
• Liberar a Konexyon de cualquier reclamación derivada de los actos, omisiones, contenido o conducta de cualquier otro usuario, en la máxima medida permitida por la ley aplicable
• Que la provisión por parte de Konexyon de herramientas que posibilitaron el contacto entre tú y otro usuario no convierte a Konexyon en coautor del ilícito civil, coconspirador ni parte responsable de ninguna disputa derivada de ese contacto

Konexyon podrá — pero no estará obligada a — proporcionar voluntariamente información o asistencia de mediación en disputas entre usuarios a su exclusiva discreción. Dicha asistencia voluntaria no constituye admisión de responsabilidad, asunción de obligaciones de resolución de disputas ni renuncia a ningún derecho de Konexyon.

19. Ley aplicable y jurisdicción

Estos Términos se regirán por las leyes de España. Para consumidores de la UE, las leyes obligatorias de protección del consumidor de tu país de residencia también pueden aplicarse.

Sujeto a la Sección 20, la jurisdicción exclusiva para disputas que lleguen a litigación serán los tribunales de Las Palmas de Gran Canaria, España.

20. Resolución de conflictos y arbitraje

20.1 Resolución informal primero

Antes de iniciar cualquier procedimiento formal, aceptas contactar con Konexyon en [email protected] e intentar resolver la disputa de manera informal. Si no se resuelve en 30 días, cualquiera de las partes puede proceder al arbitraje.

20.2 Arbitraje vinculante

Ámbito de aplicación — a quién se aplica: La obligación de arbitraje vinculante de esta Sección 20.2 se aplica exclusivamente a: (a) usuarios empresariales y profesionales que utilicen el Servicio en el ejercicio de su actividad comercial o profesional; y (b) disputas que no deriven de derechos irrenunciables bajo la ley imperativa de protección del consumidor aplicable. Si eres consumidor residente en la Unión Europea o en el Espacio Económico Europeo, no estás obligado a resolver tu disputa mediante arbitraje vinculante y conservas el pleno derecho a interponer reclamaciones ante tus tribunales nacionales o a través de las Juntas Arbitrales de Consumo, la Dirección General de Consumo del Gobierno de Canarias o, en litigios transfronterizos, la Red de Centros Europeos del Consumidor (ECC-Net).

Para las disputas incluidas en el ámbito de esta Sección 20.2, cualquier disputa que no pueda resolverse informalmente se resolverá exclusivamente mediante arbitraje vinculante administrado por la Corte de Arbitraje de Madrid (CAM) bajo su Reglamento de Arbitraje vigente. Para disputas con partes fuera de España, el arbitraje puede administrarse alternativamente por la Corte Internacional de Arbitraje de la CCI (París) a elección de Konexyon.

El arbitraje será: (a) conducido ante un árbitro único, salvo que el importe disputado supere los 500.000 €, en cuyo caso se nombrará un tribunal de tres árbitros; (b) realizado en español (o en inglés si ambas partes lo acuerdan); (c) con sede en Madrid, España; (d) regido por el derecho sustantivo español. El laudo del árbitro será definitivo y vinculante. El arbitraje se llevará a cabo de forma confidencial.

Costes: Cada parte asumirá sus propios honorarios legales. Las tasas de la CAM/CCI se compartirán a partes iguales, salvo que el árbitro determine que la posición de una parte fue frívola o de mala fe, en cuyo caso puede atribuirle la totalidad de los costes.

20.3 Excepciones al arbitraje

Pueden presentarse directamente ante tribunales: (a) solicitudes de medidas cautelares urgentes para prevenir daños irreparables; (b) reclamaciones que califiquen para juzgados de primera instancia; (c) reclamaciones de Konexyon para proteger derechos de propiedad intelectual; (d) reclamaciones de Konexyon para cobrar tarifas impagadas.

20.4 Prohibición de arbitraje en masa coordinado

Para evitar el uso estratégico de presentaciones masivas de arbitraje, aceptas no presentar más de una reclamación de arbitraje contra Konexyon en cualquier período de 30 días. Si 25 o más demandas de arbitraje sustancialmente similares son presentadas por demandantes coordinados en cualquier período de 90 días, todas se consolidarán en un único procedimiento o, a elección de Konexyon, se resolverán ante un tribunal competente en Madrid.

20.5 Resolución extrajudicial de conflictos (DSA Art. 21)

De conformidad con el Art. 21 del Reglamento de Servicios Digitales (DSA), los usuarios de la UE tienen derecho a someter los conflictos relativos a decisiones de moderación de contenido a un organismo certificado de resolución extrajudicial de conflictos, de forma gratuita, en lugar de o después de agotar el proceso de apelación interna de Konexyon (Sección 15.2).

Konexyon reconoce a cualquier organismo certificado conforme al DSA Art. 21 por el Coordinador de Servicios Digitales competente. Para consultar la lista actualizada de organismos certificados en España, dirígete a la Secretaría de Estado de Digitalización e Inteligencia Artificial (SEDIA).

Asimismo, los consumidores pueden acudir a las Juntas Arbitrales de Consumo, a la Dirección General de Consumo del Gobierno de Canarias o, en litigios transfronterizos dentro de la Unión Europea, a la Red de Centros Europeos del Consumidor (ECC-Net). La antigua plataforma europea de Resolución de Litigios en Línea dejó de estar operativa el 20 de julio de 2025, al derogarse el Reglamento (UE) 524/2013 por el Reglamento (UE) 2024/3228.

21. Renuncia a acciones colectivas

22. Disposiciones generales

22.1 Acuerdo completo

Estos Términos y la Política de Privacidad constituyen el acuerdo completo entre tú y Konexyon y sustituyen todos los acuerdos anteriores. En caso de conflicto entre estos Términos y la ley obligatoria aplicable, prevalecerá la ley aplicable.

22.2 Divisibilidad

Si alguna disposición de estos Términos es declarada inválida o inaplicable, se modificará en la medida mínima necesaria o se suprimirá, sin afectar las disposiciones restantes.

22.3 No renuncia

El incumplimiento de Konexyon de cualquier disposición de estos Términos no constituirá una renuncia a la misma ni a ninguna otra disposición.

22.4 Fuerza mayor

Konexyon no será responsable por fallos o retrasos debidos a causas fuera de nuestro control razonable: actos de Dios, guerra, terrorismo, disturbios, incendio, inundación, terremoto, epidemias, huelgas, acción gubernamental o fallo de infraestructura de Internet.

22.5 Cesión

No puedes ceder tus derechos bajo estos Términos sin consentimiento previo de Konexyon. Konexyon puede ceder estos Términos en relación con una fusión, adquisición o venta de activos.

22.6 Idioma

Estos Términos se ofrecen en español e inglés. En caso de conflicto, la versión en español prevalecerá para usuarios residentes en España, y la versión en inglés para usuarios en otras jurisdicciones.

22.7 Ausencia de terceros beneficiarios

Estos Términos se celebran exclusivamente en beneficio de tú y Konexyon. Nada en estos Términos, expreso o implícito, pretende ni confiere a ningún tercero ningún derecho, beneficio o recurso legal o equitativo de ningún tipo, salvo indicación expresa en contrario. Esta cláusula no afecta a los derechos de ninguna persona bajo la ley obligatoria de protección al consumidor o de protección de datos.

22.8 Modificación solo por escrito

Estos Términos no pueden modificarse mediante ninguna declaración oral, representación o práctica habitual. Cualquier modificación debe realizarse por escrito, firmada (o aceptada electrónicamente) por un representante autorizado de Konexyon y publicada conforme a la Sección 23.

22.9 Relación entre las partes

Nada en estos Términos crea una asociación, empresa conjunta, agencia, franquicia, relación laboral ni relación fiduciaria entre tú y Konexyon. No tienes autoridad para hacer ni aceptar ofertas o declaraciones en nombre de Konexyon. Konexyon y tú sois partes contratantes independientes.

22.10 Restricciones geográficas y controles de exportación

Konexyon controla y opera el Servicio desde España. Eres el único responsable de garantizar que tu uso del Servicio cumple todas las leyes y regulaciones aplicables en tu jurisdicción. Aceptas no acceder ni usar el Servicio: (a) desde ningún país sujeto a un embargo comercial integral de la UE, España o los EE. UU.; (b) si estás incluido en alguna lista de personas o entidades restringidas aplicable. Konexyon se reserva el derecho de restringir el acceso desde cualquier país o jurisdicción a su entera discreción.

22.11 Vigencia de disposiciones

Las siguientes Secciones sobrevivirán a la expiración o terminación de estos Términos: Definiciones, Sección 5 (Licencia de contenido), Sección 16 (Exenciones de responsabilidad), Sección 17 (Limitación de responsabilidad), Sección 18 (Indemnización), Sección 20 (Resolución de conflictos), Sección 21 (Renuncia a acciones colectivas) y esta Sección 22 (Disposiciones generales).

22.12 Aceptación electrónica vinculante

Tu aceptación de estos Términos — ya sea mediante clic en "Acepto", "Aceptar", "Crear cuenta", "Registrarse" o cualquier confirmación equivalente durante el registro, al iniciar sesión o en respuesta a un aviso dentro de la aplicación — constituye una firma electrónica legalmente vinculante en el sentido del Reglamento (UE) n.º 910/2014 (eIDAS) y de la ley española aplicable (Ley 59/2003 de Firma Electrónica, en su versión vigente). Reconoces y aceptas que:

• La aceptación electrónica es plenamente equivalente a una firma manuscrita y crea un contrato legalmente vinculante con la misma fuerza y efectos
• No impugnarás la validez, eficacia o formación de estos Términos alegando que la aceptación fue electrónica o mediante clic
• Konexyon mantiene registros en el servidor de la fecha y hora de aceptación, dirección IP, identificadores de dispositivo y versión de los Términos aceptada; estos registros constituyen prueba prima facie de la existencia, fecha y alcance de tu aceptación
• La aceptación de los Términos actualizados — ya sea mediante clic afirmativo o mediante el uso continuado del Servicio tras la fecha de entrada en vigor, cuando lo permita la Sección 23 — es igualmente vinculante para ti

22.13 No dependencia de declaraciones externas

Los presentes Términos y la Política de Privacidad constituyen el acuerdo íntegro y exclusivo entre tú y Konexyon respecto al Servicio. Ninguna declaración, representación, anuncio, material de marketing, contenido promocional, entrada de blog, publicación en redes sociales, entrevista, comunicado de prensa, webinar, artículo de ayuda, respuesta de soporte al cliente ni comunicación oral o escrita realizada por Konexyon o cualquiera de sus directivos, empleados, agentes, contratistas o afiliados — fuera de estos Términos y la Política de Privacidad — crea ningún derecho contractual, obligación, garantía ni declaración en nombre de Konexyon. No puedes alegar ninguna de esas declaraciones externas como fundamento de ninguna reclamación contra Konexyon. En caso de conflicto entre cualquier declaración externa y los presentes Términos, prevalecen los Términos.

22.14 Culpa comparativa y contributiva

Donde la ley aplicable permita la distribución de responsabilidad en función de la culpa relativa de las partes, cualquier responsabilidad de Konexyon se reducirá proporcionalmente al grado en que tu propio acto, omisión, negligencia, incumplimiento de estos Términos o falta de mitigación haya contribuido a la pérdida o daño que reclamas. En los casos en que tu culpa contributiva sea igual o superior a la de Konexyon — si es que existe alguna culpa de Konexyon —, la responsabilidad de Konexyon será cero. Esta cláusula se aplica además de, y sin limitar, el deber de mitigar de la Sección 17.5.

23. Cambios en estos Términos

Podemos actualizar estos Términos periódicamente. Notificaremos cambios materiales mediante banner en la app y/o email al menos 14 días antes de que entren en vigor. Para cambios que amplíen significativamente nuestros derechos o reduzcan los tuyos, obtendremos nuevo consentimiento.

El uso continuado del Servicio tras la fecha de vigor constituye aceptación de los Términos actualizados.
